Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The executive committee of the board of directors delegates the responsibility for review of the form 990 to select financial officers of the organization with the expectation that those officers will review and approve the contents of the form; and any issues or porblems noted, will be brought to the attention of the committee to be resolved, and if necessary, to the full board for action or clarification.

Form 990, Page 6, Part VI, Line 12C

Annual completion of the "code of conduct" board policy form which includes conflict of interest reference. If necessary due to conflicts of interest, board members leave the room during voting process.

Form 990, Page 6, Part VI, Line 15A

Employment contract in effect until february 19, 2017 unless terminated by the board or employee. Board determines an increase in compensation as may be determined in its sole and absolute discretion. Performance evaluation shall take place after 6 months and each twelve months thereafter. Each year the review process is presented to the board by the executive committee which considers compensation. The board participates in a formal performance review and evaluation process. In addition the employee shall prepare a written self appraisal and set personal performance objectives.

Form 990, Page 6, Part VI, Line 15B

The director of finance's compensation is determined through the annual performance and compensation review performed by the direct supervisor (anna tanski, president / ceo). The director of finance's salary is compared to similar positions in the market as well as within the industry. With input and feedback from the executive committee, salary increases, if any, are put forth by the direct supervisor.
