The organization has regular members that elect at large directors that serve for three years. The organization has allied members that elect an allied director that serves for three years.

Any change to the association's bylaws approved by the board of directors requires 2/3 vote of the membership (per the bylaws). The bylaws also provide that a majority of the membership must consent to the board's disposal of assets upon dissolution.

The ceo and coo review the form 990 after it is prepared by an independent accounting firm. A copy of form 990 is provided to the board before filing. Board members are notified that this document is available, for how long and when the return will be filed. The return will be filed as presented if no further adjustments are warranted. The board receives notification of any additional changes prior to filing. The return is then signed by the ceo and filed appropriately.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require the association's management to evaluate tax positions taken by the association and recognize an adjustment to the change in net assets if the association has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue service. Management has analyzed the tax positions taken by the association, and is not aware of any uncertain positions taken or expected to be taken that would require an adjustment to the change in net assets or disclosure in the consolidated financial statements as of december 31, 2015. The association is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Association management believes it is no longer subject to income tax examinations for years prior to 2012.
