Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the chief operating officer and the chief executive officer prior to filing.

Form 990, Part VI, Section B, Line 12C

At each meeting of the board of directors our policy on anti-trust is cited and referenced for all members present to hear. In addition, during our board member orientation held each year in february, our conflict of interest policy is explained to the new board members and the new board members are required to sign attesting to the fact they will abide by the policy. Each new board member is given a copy of the conflict of interest policy.

Form 990, Part VI, Section B, Line 15

The compensation of the ceo is reviewed and benchmarked against the annual executive compensation survey by ceo update - the source on association and nonprofit executive careers. The compensation of other key employees is reviewed and benchmarked against similar publications.

Form 990, Part VI, Section C, Line 19

As a not profit entity, all of our documents are available for public inspection with or without an appointment. Our files appropriate for public inspection are kept by the chief operating officer and the acting manager of front office operations and events.

Additional Explanations

Form 990, Part III, Line 2

Sia created several new committees and working groups in 2017. First, an international relations committee was created to serve as a liaison to us government international trade officials. The data privacy board provides information and best practices to help sia members handle sensitive data in a secure manner to protect the personally identifiable information of their employees. The homeland security working group was created to identify, support and advocate for policies and programs that protect our nation against threats and secure our critical infrastructure the facilities, systems and networks upon which our society depends. Another new initiative is work on a technology resource center which will be a function of the sia standards department; work on this continues into 2018. The sia website was completely overhauled in 2017 with a much stronger member interface and a much more robust platform with greater search capabilities. Seed funds were designated in 2017 for a podcast series to begin in earnest in 2018. A scholarship fund for a new program called rise was initiated in 2017; these scholarships are for young, security professionals interested in professional growth and development in the security sphere. Funds were appropriated in 2017 for a new ams (association management software) which will come online in 2018. The public safety working group focuses on improving the safety, security and sustainability of communities and is comprised of sia members, first responders and security practitioners. The retail security industry group brings together security technology suppliers, security practitioners, law enforcement and other stakeholders to develop analyses and recommendations regarding the implementation of security solutions, the impact of emerging technologies, and the unique physical security, loss prevention and other security challenges in the retail sector.
