Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is reviewed by the Chief Operating Officer and the Chief Executive Officer prior to filing.

Form 990, Part VI, Section B, line 12C

At each meeting of the board of directors our policy on anti-trust is read verbatim for all members present to hear. In addition, during our board member orientation held each year in february, our conflict of interest policy is explained to the new board members and the new board members are required to sign attesting to the fact they will abide by the policy. Each new board member is given a copy of the conflict of interest policy.

Form 990, Part VI, Section B, line 15

The compensation of the ceo is reviewed and benchmarked against the annual executive compensation survey by ceo update - the source on association and nonprofit executive careers and people and compensation study by hewitt associates, llc from lincolnshire, illinois, entitled total compensation measurement industrial and service executive regression analysis geared specifically for this organization factoring such variables as size of budget, geographic location and job description. The compensation of other key employees is reviewed and benchmarked against the same publications.

Form 990, Part VI, Section C, line 19

As a not profit entity, all of our documents are available for public inspection with or without an appointment. Our files appropriate for public inspection are kept by the chief operating officer and the acting manager of front office operations and events.

Additional Explanations

Form 990, Part III, line 2

SIA have instituted some new committees and/or working groups. They include: In Government Relations we have a working group called the Body-Worn Cameras Working Group; this working group advocates funding and policy measures supporting the successful implementation and use of body-worn cameras (BWC) systems and provides subject matter expertise on BWC technology to endusers. In Industry Relations, we have a new Health Care Security Interest Group; this group brings together members of the electronic physical security industry, end users, law enforcement and other stakeholders to develop analyses and recommendations regarding the implementation of security solutions, the impact of emerging technologies and the unique demands, constraints and challenges of securing health care facilities. Also in Industry Relations, we have a new Retail Security Interest Group. Launched in April, 2016, the Retail Security Interest group brings together security technology suppliers, security practitioners, law enforcement and other stakeholders to develop analyses and recommendations regarding the implementation of security solutions, the impact of emerging technologies, and the unique physical security, loss prevention and other security challenges in the retail sector. In Membership, the RISE Committee delivers educational content and networking opportunities to young professional employees of SIA member companies and college students and recent graduates who may have employment interest in the global security industry.

Form 990, Part III, line 3

Originally launched in 2016, the "SIA-360" was an electronic, online portal (like an online chat vehicle) whereby SIA members could engage in discussion on a myriad of security topics. This SIA-360 activity is currently not operating as we rebrand the activities associated with this online portal activity.
