Mission

Leadingage pa's mission statement is to promote the interests of its members by enhancing their ability to provide quality services efficiently and effectively; and by representing the members through cooperative action.

Leadingage pa is a trade association representing members consisting primarily of not-for-profit organizations that provide housing, healthcare, home and community-based services, and related goods and services to older adults in pennsylvania.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

Authority is granted to the executive committee to act on behalf of the board. The executive committee consists of the officers of the board. Decisions made by the executive committee are reported to the full board.

Form 990, Part VI, Section A, Line 6

There will be four (4) classes of membership, as follows: 1. Voting members. To be eligible as a voting member, an organization must (i) provide facility-based or community-based health services or congregate housing at a distinct site located within the commonwealth of pennsylvania, including but not limited to long-term care facilities, personal care homes, assisted living facilities, retirement communities, subsidized housing, home health agencies and adult day care centers, (ii) have and maintain all appicable licenses and certifications for their business operations, (iii) conduct their business in accordance with the values and principles adopted by the voting members on the recommendation of the board ("standards"), (iv) comply with the policies approved by the board from time to time concerning the membership affiliates, and (v) if required by leadgingage (national), be a voting member of leadingage (national) or have submitted an application to become a voting member of leadingage (national). Voting members will pay the dues approved by the voting members upon the recommendation of the board. Voting members are eligible to vote on matters requiring the approval of the voting members as set for in these bylaws. 2. Honorary members. Honorary membership in leadingage pa may be conferred by the board on an individual who has rendered long and meritorious service to the association. Honorary members will pay no dues and have no vote. 3. Business members. Business members are commercial and professional organizations that offer services and/or supplies to the senior living industry; provided, however, that any organization that owns or controls an organization that is not eligible to be, but is not, a voting member is ineligible to be a business member. Business members will pay the dues determined by the board from time to time but have no vote. 4. Miscellaneous. In addition to the foregoing, the board may from time to time establish special categories of non-voting members that are reasonably intended to further the purpose of leadingage pa, such as retiree members or student members. Such categories of members will pay the dues deterimed by the board from time to time but have no vote.

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by tax advisors of a national accounting firm with information provided by management. The return is completed in draft form and reviewed by management of the organization. The return is then finalized and the board is provided a copy of the form 990 before it is filed.

Form 990, Part VI, Section B, Line 12C

Leadingage pa has a request for proposal (rfp) process in place which requires bid/proposal from organizations/individuals pursuing a contractual and/or consultant relationship with leadingage pa. The proposals are reviewed by appropriate staff and member task force and/or board of directors. In addition, there is a formal conflict of interest policy for the board of directors and senior team members that is provided to the leadingage pa board and senior management annually and is reviewed during a formal orientation each year when the new board is seated. Leadingage pa's president/ceo along with the board chair ensure that all board members and the senior management team understand the policy and are in compliance. Review and signed agreement on conflict of interest done annually.

Form 990, Part VI, Section B, Line 15

Leadingage pa conducts a review and study of salary survey data of like associations/organizations within pennsylvania and outside pennsylvania, as well as similar positions within other state senior services associations for the ceo position. The compensation committee, which is made up of the board executive committee, evaluates, reviews and approves the ceo compensation each year. This review and approval is documented in the board meeting minutes. Outside data was last obtained in 2024, and internal evaluations are done annually. For key employees, leadingage pa also utilizes a wage and compensation system developed by an outside consultant and updated as requested. Review and approval of key employee salaries are done by the ceo. Complete salary line items in the annual budget are approved by the board. This review and approval is documented in the board meeting minutes. Outside data was last obtained in 2021, however, internal evaluations are done annually.

Leadingage pa is a not-for-profit corporation as described in section 501(c)(6) of the code. Accordingly, no provision for income taxes has been provided. Accounting principles generally accepted in the united states of america require the association to evaluate tax positions taken by leadingage pa and recognize a tax liability or asset if leadingage pa has taken an uncertain position that more likely than not would be sustained upon examination by the internal revenue service (irs). Leadingage pa has concluded that as of december 31, 2024 and 2023, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the consolidated financial statements. Generally, tax returns for years ended december 31, 2021, and thereafter remain subject to examination by federal and state tax authorities.
