Mission

Leadingage pa's mission statement is to promote the interests of its members by enhancing their ability to provide quality services efficiently and effectively; and by representing the members through cooperative action.

Leadingage pa is a trade association representing members consisting primarily of not-for-profit organizations that provide housing, healthcare, home and community based services, and related goods and services to older adults in pennsylvania.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Voting member: an organization must be or be controlled by a 501(c) or other legally recognized not-for-profit entity. Such member shall provide facility-based or community-based health services or congregate housing at a distinct site located within the commonwealth of pennsylvania. Examples include but are not necessarily limited to: long-term care facilities, personal care homes, assisted living facilities, retirement communities, subsidized housing, home health agencies and adult day care centers. Voting members must meet such licensure or certification requirements as may be imposed by the appropriate governmental authorities. Each voting members shall appoint a delegate to attend the annual meeting or special meeting of leadingage pa. The delegates of the members may elect members to the organization's board of directors at the annual meeting. Honorary member: conferred by the board of directors on an individual who has rendered long and meritorious service to the association. An honorary member pays no dues. Honorary members have no voting rights, but have the same privileges as voting members. Business members: companies and professional firms that offer services and/or supplies to organizations eligible for leadingage pa voting membership. Companies/organizations owning, operating, or managing organizations/facilities which are eligible for leadingage pa voting membership or as a leadingage pa affiliate but do not belong to leadingage pa are not eligible to be business members. Business members do not have voting rights. Affiliate members: for-profit facilities providing care, services or housing for the aging. Affiliate members are not entitled to vote and are not eligible to serve on the leading age pa's board of directors, committees or task forces.

Form 990, Part VI, Section B, Line 11B

Leadingage pa senior vice president of administration provided documentation to prepare actual form 990. The senior vice president of administration reviewed the final form 990 before filing with the irs. Leadingage pa will provide a copy of the form 990 to all board members via e-mail.

Form 990, Part VI, Section B, Line 12C

Leadingage pa has a request for proposal (rfp) process in place which requires bid/proposal from organizations/individuals pursuing a contractual and/or consultant relationship with leadingage pa. The proposals are reviewed by appropriate staff and member task force and/or board of directors. In addition, there is a formal conflict of interest policy for the board of directors and senior team members that is provided to the leadingage pa board and senior management annually and is reviewed during a formal orientation each year when the new board is seated. Leadingage pa's president/ceo along with the board chair ensure that all board members and the senior management team understand the policy and are in compliance.

Form 990, Part VI, Section B, Line 15

Leadingage pa conducts a review and study of salary survey data of like associations/organizations within pennsylvania and outside pennsylvania. As well as similar positions within other state senior services associations. For key employees, leadingage pa also utilizes a wage and compensation system developed by an outside consultant and updated annually. Review and approval of key employee salaries are done by the ceo. Complete salary line items in the annual budget are approved by the board. This review and approval is documents in the board meeting minutes.

Leadingage pa has an annual audit of the consolidated financial statements for leadingage pa and controlled entity performed by an independent accounting firm. The audit committee of the leadingage pa board of directors assumes responsibility for the oversight of the audit and selection of the independent accounting firm.

PART X, LINE 2:

Leadingage pa is a not-for-profit corporation as described in section 501(c)(6) of the code. Accordingly, no provision for income taxes has been provided. Accounting principles generally accepted in the united states of america require the association to evaluate tax positions taken by the association and recognize a tax liability or asset if the association has taken an uncertain position that more likely than not would be sustained upon examination by the internal revenue services (irs). The association has concluded that as of december 31, 2019 and 2018, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the consolidated financial statements. Generally, tax returns for years ended december 31, 2016, and thereafter remain subject to examination by federal and state tax authorities.
