“There will be four (4) classes of membership, as follows: voting members. To be eligible as a voting member, an organization must (i) provide facility-based or community-based health services or congregate housing at a distinct site located within the commonwealth of pennsylvania, including but not limited to long-term care facilities, personal care homes, assisted living facilities, retirement communities, subsidized housing, home health agencies and adult day care centers, (ii) have and maintain all applicable licenses and certifications for their business operations, (iii) conduct their business in accordance with the values and principles adopted by the voting members on the recommendation of the board ("standards"), (iv) comply with the policies approved by the board from time to time concerning the membership of affiliates, and (v) if required by leadingage (national), be a voting member of leadingage (national) or have submitted an application to become a voting member of leadingage (national). Voting members will pay the dues approved by the voting members upon the recommendation of the board. Voting members are eligible to vote on matters requiring the approval of the voting members as set forth in these bylaws. Honorary members. Honorary membership in leadingage pa may be conferred by the board on an individual who has rendered long and meritorious service to the association. Honorary members will pay no dues and have no vote. Business members. Business members are commercial and professional organizations that offer services and/or supplies to the senior living industry; provided, however, that any organization that owns or controls an organization that is eligible to be, but is not, a voting member is ineligible to be a business member. Business members will pay the dues determined by the board from time to time but have no vote. Miscellaneous. In addition to the foregoing, the board may from time to time establish special categories of non-voting members that are reasonably intended to further the purposes of leadingage pa, such as retiree members or student members. Such categories of members will pay the dues determined by the board from time to time but have no vote.”

“Leadingage pa senior vice president of administration provided documentation to prepare actual form 990. The senior vice president of administration reviewed the final form 990 before filing with the irs. Leadingage pa will provide a copy of the form 990 to all board members via e-mail.”

“Leadingage pa has a request for proposal (rfp) process in place which requires bid/proposal from organizations/individuals pursuing a contractual and/or consultant relationship with leadingage pa. The proposals are reviewed by appropriate staff and member task force and/or board of directors. In addition, there is a formal conflict of interest policy for the board of directors and senior team members that is provided to the leadingage pa board and senior management annually and is reviewed during a formal orientation each year when the new board is seated. Leadingage pa's president/ceo along with the board chair ensure that all board members and the senior management team understand the policy and are in compliance.”

“Leadingage pa conducts a review and study of salary survey data of like associations/organizations within pennsylvania and outside pennsylvania. As well as similar positions within other state senior services associations. For key employees, leadingage pa also utilizes a wage and compensation system developed by an outside consultant and updated annually. Review and approval of key employee salaries are done by the ceo. Complete salary line items in the annual budget are approved by the board. This review and approval is documents in the board meeting minutes.”

“The governing documents, conflict of interest policy, and financial statements are provided to full board of directors, board officers, staff, and are available upon request to members and the public.”

“Leadingage pa has an annual audit of the consolidated financial statements for leadingage pa and controlled entity performed by an independent accounting firm. The audit committee of the leadingage pa board of directors assumes responsibility for the oversight of the audit and selection of the independent accounting firm.”
