The board of directors are required to review the written conflict of interest policy on an annual basis. This form requires each person to identify any relationships that may potentially be conflicts of interest under the policy. The organization then investigates the potential conflict and takes any appropriate actions. Compliance with the conflict of interest policy is checked by mark kramer, managing director.

The top management officials' salary was determined by the compensation committee of the board of governance. The committee relied on comparative compensation information for similar organizations in making its decisions on compensation levels. The decision was documented in a contemporaneous manner. These top management officials recused themselves from the process. Compensation of officers and key employees was determined by the organization's top management officials using comparative salary data from various resources including guidestar and an independent compensation study. Independent approval of the compensation was provided by the board of governance. In no case did an individual with an interest in a specific compensation amount participate in the compensation approval process.

Financial Statement Notes

PART X, LINE 2:

Asc 740 footnote - generally accepted accounting principles in the united states of america prescribe the threshold a tax position is required to meet before being recognized in the financial statements. The tax-exempt status of an entity is considered a tax position. A liability for uncertain tax positions ("utps") is recognized and recorded as a component of current income tax expense for differences between financial and income tax reporting positions which do not meet this threshold. Any interest and penalties related to utps are recorded as a component of income tax expense. The organization has reviewed its income tax positions that remain subject to examination by tax authorities and has not identified any material utps and thus has not recorded any additional liability at december 31, 2013 or 2012.
