Governance Explanations

FORM 990, PAGE 7, PART VII, LINE 1A:

For 2019, marc pfitzer's salary was determined to be the equivalent of $363,385 usd. This salary reflects a geneva switzerland cost of living that is approximately 160% of similar u.s. Cities and fluctuation of the chf.

Form 990, Part VI, Section B, Line 11B

A detailed review of the 990 is performed by top management of the organization before filing.

Form 990, Part VI, Section B, Line 12C

The board of directors are required to review the written conflict of interest policy on an annual basis. This form requires each person to identify any relationships that may potentially be conflicts of interest under the policy. The organization then investigates the potential conflict and takes any appropriate actions.

Form 990, Part VI, Section B, Line 15

The top management officials' salary was determined by the compensation committee of the board of governance. The committee relied on comparative compensation information for similar organizations in making its decisions on compensation levels. The decision was documented in a contemporaneous manner. These top management officials recused themselves from the process. Compensation of officers and key employees was determined by the organization's top management officials using comparative salary data from various resources including guidestar and an independent compensation study. Independent approval of the compensation was provided by the board of governance. In no case did an individual with an interest in a specific compensation amount participate in the compensation approval process.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. Requests are to be made directly to the individual listed in part vi, section c, line 20. Form 990 and financial statements are also available on third party websites such as guidestar and the massachusettts attorney genral division of public charities.

FORM 990, PAGE 7, PART VII, LINE 1A:

During 2019, michael porter was compensated for consulting services that he provided in his area of expertise.

Financial Statement Notes

PART X, LINE 2:

Asc 740 footnote - generally accepted accounting principles in the united states of america prescribe the threshold a tax position is required to meet before being recognized in the financial statements. The tax-exempt status of an entity is considered a tax position. A liability for uncertain tax positions ("utps") is recognized and recorded as a component of current income tax expense for differences between financial and income tax reporting positions which do not meet this threshold. Any interest and penalties related to utps are recorded as a component of income tax expense. The organization has not taken any tax positions, including any tax positions that would jeopardize its tax exempt status, which would have a material effect, individually or in the aggregate, on its financial statements, and thus has not recorded a liability at december 31, 2019 or 2018. Fsg files tax returns in federal, state and local jurisdictions. Fsg, inc. Is no longer subject to examinations by tax authorities for years prior to 2016. Currently, there are no tax audits in process for fsg, inc.
