Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the chair, vice chair, secretary, and treasurer. The committee has the power to exercise all the authority of the board of trustees in the management of the business and affairs of the corporation between board meetings.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent public accounting firm using information provided by the organization. Once a draft of the return is ready, the finance committee reviews the 990 and recommends to the board for approval. The board reviews and votes to approve prior to the 990 being filed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to all trustees as well as others who serve on the board committees and/or task forces. If a conflict of interest arises, the member with the conflict is expected to disclose in writing the existence of the conflict to the board chair as soon as that member is aware of the conflict. The board chair will, in turn, determine the appropriate method for managing the conflict. Annual disclosure forms are completed to document actual and potential conflicts of interest and immediate written notice to the board chair if a conflict arises. The conflict of interest policy and any conflicts reported are monitored by the governance committee. If a conflict is identified, it is noted in the board minutes and the individual abstains from voting on that matter.

Financial Statement Notes

PART V, LINE 4:

The organization holds two endowments; one for $100,000 and another for $13,300. Both are intended to support the long-term sustainability of the organization. Earnings each year are released for general operations of the organization.

PART X, LINE 2:

The organization is exempt from income tax under section 501(c)(3) of the u.s. Internal revenue code. Accordingly, no provision for income taxes has been provided in these financial statements. In addition, the organization qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(1). Unrelated business income, if any, may be subject to income tax. Generally accepted accounting principles require the recognition, measurement, classification, and disclosure in the financial statements of uncertain tax positions taken or expected to be taken in the organization's tax returns. Management has determined that the organization does not have any uncertain tax positions and associated unrecognized benefits that materially impact the financial statements or related disclosures. Since tax matters are subject to some degree of uncertainty, there can be no assurance that the organization's tax returns will not be challenged by the taxing authorities and that the organization will not be subject to additional tax, penalties, and interest as a result of such challenge. Generally, the organization's tax returns remain open for federal income tax examination for three years from the date of filing.
