Governance Explanations

Form 990, Part VI, Section B, line 11B

The Co-Executive Director of Administration (Project Director) and the Director of Finance review the 990 extensively, request clarifications from the accounting firm and suggest revisions as necessary before providing the draft 990 to the Finance Committee of the Board. The Finance Committee reviews and approves the draft 990 before it is finalized and filed.

Form 990, Part VI, Section B, line 12C

BVHC does have a Conflict of Interest policy and procedure (COIP&P). The COIP&P pertains to directors, officers, employees, interns, and volunteers. Individuals who partake in the procurement process, and board members are required to fill out and submit a Conflict of Interest Disclosure Statement annually, and any time there is an update to the policy. All other employees complete a Disclosure Statement upon hire and anytime there is a change to the policy. The Disclosure Statements from employees are given to the Project Director (CEO). The Disclosure Statement from the CEO is given to the Board Chair. The Statement from the Board Chair is given to the Vice Chair, and Disclosure Statements from Board Members are given to the Board Chair. If the potentially conflicted person is a Board Member or the CEO, that person may make a presentation to the Board and answer questions related to the potential conflict. The potentially conflicted person must leave the meeting for any discussion of, or vote to determine, if a conflict does exist. If a conflict is determined to exist, the conflicted person must leave the meeting during any discussion of, and voting on, the transaction or arrangement that involves the conflict. In the same way, individuals involved with procurement who have a conflict of interest shall be recused from any and all applicable discussions regarding the procurement and shall not participate in any way with the procurement involved with the conflict. If an individual is deemed to have failed to disclose a conflict of interest and a reasonable explanation cannot be made, corrective action up to and including dismissal from employment or position on the Board will be taken. In the case of material continuing or pervasive conflicts of interest, an individual may be required to withdraw from their position with the Health Center unless the individual (or their family member or business associate) chooses to disassociate from the outside position that causes the conflict of interest.

Form 990, Part VI, Section B, line 15

The board's Executive Committee reviews the Co-Executive Directors' salaries in a closed session. The board's Executive Committee researches and provides the board with summary memos comparing the salary level to positions at other non-profits regionally. Any changes made to Co-Executive Directors' salaries are documented in updated contracts or employment letters prior to the new salaries going into effect. The organization conducted a market study on salaries for all positions within the organization, which is documented in a spreadsheet. All raises were documented in updated letters to employees prior to the new salaries going in effect. Compensation is approved by the Co-Executive Directors and presented to the board of directors during the budget review process for their approval of the budget compensation line item.
