Breakthrough fosters excellence in education by supporting local breakthrough affiliate programs that 1) provide rigorous academic experiences for under-resourced middle and high school students to inspire and 2) train undergraduates with an interest in entering the field of education.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee consists of the chair, vice chair, secretary, and treasurer. The committee has the power to exercise all the authority of the board of trustees in the management of the business and affairs of the corporation between board meetings.

Form 990, Part VI, Section B, Line 11B

A draft of form 990 is reviewed in its entirety by the chief executive officer and chief financial officer, who compare the data and written statements to original, source documentation submitted to the tax preparers. Upon approval by the chief executive officer, the reviewed form 990 is sent to the finance committee of the board of trustees for review, questions, and recommendation for approval by the board of directors. Upon approval by the board of directors, form 990 is signed by the chief executive officer and is filed. Copies of the final, executed returns are filed for permanent archiving in accordance with the records retention and disposal policy, both in hard copy and electronic formats.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to all trustees as well as others who serve on the board committees and/or task forces. If a conflict of interest arises, the member with the conflict is expected to disclose in writing the existence of the conflict to the board chair as soon as that member is aware of the conflict. The board chair will, in turn, determine the appropriate method for managing the conflict. Annual disclosure forms are completed to document actual and potential conflicts of interest and immediate written notice to the board chair if a conflict arises. The conflict of interest policy and any conflicts reported are monitored by the governance committee. If a conflict is identified, it is noted in the board minutes and the individual abstains from voting on that matter.

It is the practice of the breakthrough collaborative board of trustees to evaluate, assess, and set the compensation level of the chief executive officer using a combination of factors including experience, education, background, skills, compensation & benefits data for organizations of similar size, function, and scope. This was last conducted during the most recent search for the chief executive officer of the national office, which took place in the spring and summer of 2017. Since that time, the board of trustees has conducted one annual review of the chief executive officer's performance which last occured in june 2019.

Financial Statement Notes

PART V, LINE 4:

Collaborative endowment was established to provide enduring support (through earnings, without spend of its corpus) for training and technical assistance for local chapters.

PART X, LINE 2:

The organization is exempt from income tax under section 501(c)(3) of the u.s. Internal revenue code. Accordingly, no provision for income taxes has been provided in these financial statements. In addition, the organization qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(1). Unrelated business income, if any, may be subject to income tax. The organization paid no taxes on unrelated business income in the years ended june 30, 2019 or 2018. Generally accepted accounting principles require the recognition, measurement, classification, and disclosure in the financial statements of uncertain tax positions taken or expected to be taken in the organization's tax returns. Management has determined that the organization does not have any uncertain tax positions and associated unrecognized benefits that materially impact the financial statements or related disclosures. Since tax matters are subject to some degree of uncertainity, there can be no assurance that the organization's tax returns will not be challenged by the taxing authorities and that the organization will not be subject to additional tax, penalties, and interest as a result of such challenge. Generally, the organization's tax returns remain open for federal income tax examination for three years from the date of filing.
