Please see schedule o for the complete mission statement.berkeley repertory theatre creates ambitious theatre that entertains and challenges its audiences, provokes civic engagement, and inspires people to experience the world in new and surprising ways. Known for its core values of storytelling, rigor, innovation, equity, discovery, and sustainability, berkeley rep draws theatre artists from around the country and the world to produce an annual seven-play season and up to four additional special event presentations that invite audiences to enjoy an eclectic range of theatrical experiences featuring diverse artistic voices, themes, and perspectives.

The theatre produces premiers of new work and major productions from an international repertoire.

Governance Explanations

Form 990, Part VI, Section B, line 11

The managing director, in consultation with the Board or Finance Committee, as the managing director deems appropriate, is responsible for the timely preparation of the return. The Managing Director shall provide the Finance Committee with a substantially complete Form 990 sufficiently in advance of the filing deadline to enable a detailed and conscientious review by the members of the Finance Committee. Subsequently, the Board will be invited to review the Form 990 in its entirety in advance of the filing deadline.

Form 990, Part VI, Section B, line 12C

The organization's conflict of interest policy covers all trustees, the managing director and artistic director. No trustee may use his or her position at the organization for personal gain or to benefit another at the expense of the organization, its mission, or its reputation. New trustees must sign the conflict of interest disclosure statement affirming they have read the conflict of interest policy, are not aware of any direct or indirect financial or other material interest that is required to be disclosed, and will promptly report any future situation that might consitute a conflict of interest. Annual signatures are not required. If a conflict of interest fails to be disclosed the board will investigate the situation and take appropriate disciplinary and corrective action as necessary.

Form 990, Part VI, Section B, line 15

Compensation for the Artistic Director and the Managing Director is negotiated by the Board President and a Committee of the Board of Trustees and approved by the Board through its approval of written employment agreements and the annual budget process. The Board (or a Board Committee) reviews data gathered from Theatre Communications Group and other public data, taking into account individual performance and the cost of living in the Berkeley, California area. The Board regularly evaluates the performance of the Artistic Director and Managing Director. Other salaries are suggested by management and approved through the budget process.

Part V, Line 4:

The purpose of the endowment funds is to further the charitable and educational purposes of Berkeley Repertory Theatre by providing general support in meeting the operating and program needs of Berkeley Repertory Theatre, as determined by Berkeley Repertory Theatre's Board of Trustees. A donor making a contribution to the Endowment Fund may impose specific use restrictions (a "Restricted Purpose") on the donor's contribution, provided that any such restriction must be clearly stated in the donor's gift instrument. If at any time in the judgment of the Board of Trustees it is impossible or impracticable to carry out exactly the Restricted Purpose in the manner requested by the donor, a purpose and manner as near as is practicable to the Restricted Purpose shall be determined by the Board of Trustees.

Part X, Line 2:

The theatre is a qualified organization exempt from federal income and california franchise taxes under the provisions of sections 501(c)(3) of the internal revenue code and 23701(d) of the california revenue and taxation code, respectively. The theatre evaluates its tax positions taken or expected to be taken to determine whether the tax positions are "more-likely-than-not" of being sustained by the applicable tax authority. Tax positions not deemed to meet the "more-likely-than-not" threshold are recorded as an expense in the applicable year. As of august 31, 2016, the theatre does not have any significant uncertain tax positions for which a reserve would be necessary. The theatre files u.s. Federal, and u.s. State tax returns. For u.s. State tax returns, the theatre is generally no longer subject to tax examinations for years prior to 2010. For u.s. Federal tax returns, the theatre is no longer subject to tax examination for years prior to 2011.

IRS990/Desc0Berkeley Repertory Theatre presented 487 performances of nine shows for an audience of more than 200,000 attendees. Local media celebrated Berkeley Rep's shows with several front-page stories, and several productions attracted the attention of critics from Los Angeles and New York.The season officially began in August with the pre-Broadway world premiere of Amelie, A New Musical starring Samantha Barks (Les Miserables), penned by acclaimed playwright Craig Lucas, and directed by Tony Award winner Pam MacKinnon. Audiences fell in love with the new musical based on the beloved film, and the show broke box office records and extended twice. Amelie opened its second production in Los Angeles on December 4, 2016, and is scheduled to open on Broadway on March 9, 2017.Next up was The Hypocrites' Pirates of Penzance. We transformed our Osher Studio into a beach party for this delightfully immersive, lovingly loopy, and fantastically eccentric 80-minute take on Gilbert & Sullivan's classic. Actors and audience shared the same space, sitting together on benches, in kiddie pools (without water, of course), and even on stage. Food and drinks were served during the performance, and the show was a hit with millennial audiences. In November and December, we presented the West Coast premiere of Ayad Akhtar's Pulitzer Prize-winning Disgraced, helmed by Kimberly Senior. The opening night coincided with the 2015 Paris Terror Attacks, and the cast had a moment of silence at the curtain call. This combustible play about cultural assimilation and the prejudices harbored in liberal society struck a chord with audiences, and Berkeley Rep decided to hold post-show talkbacks after each performance, which were well-attended and oftentimes very emotional. Disgraced broke box office records and extended its run before traveling to Seattle Repertory Theatre. Julia Cho's Aubergine was commissioned by Berkeley Rep, and after a development period in our Ground Floor, the play premiered in February 2016 and became the surprise hit of the season. Aubergine featured a Korean-American man caring for his terminally ill and estranged father. When a mysterious uncle arrived from Korea (speaking in Korean) the table was set for a moving meditation on family, forgiveness, and the things that nourish us. Audiences adored Aubergine, and the play extended one week.Next up was the highly anticipated Macbeth, starring Conleth Hill (Varys on Games of Thrones) and Frances McDormand (Fargo, Olive Kitteridge), helmed by Tony- and Obie Award-winner Daniel Sullivan. Macbeth featured an astounding cast of 19, many of whom were local actors performing alongside veteran TV and film actors. The production attracted critics from around the country, who called Frances McDormand's performance "engrossing," Conleth Hill's performance "mesmerizing, and the production "riveting." In the spring, audience favorite, Mary Zimmerman, returned to Berkeley Rep for the West Coast premiere of Treasure Island, a production that appealed to adults and children alike. Another audience favorite, Steven Epp, took on the role of the notorious Long John Silver in a production that featured plenty of live music and a Hispaniola that swung back and forth. Authentic-looking pirates, original music, and just the right amount of scariness earned a "huzzah" from audiences, and Treasure Island extended two weeks.The subscription season wrapped with another West Coast premiere: Sarah Ruhl's For Peter Pan on her 70th birthday, a fanciful and moving look at growing up versus growing old within a family. Directed by Les Waters, For Peter Pan... starred Tony Award nominee and Obie Award winner Kathleen Chalfant (Angels in America, Wit) and featured veteran Berkeley Rep actors David Chandler, Keith Reddin, Charles Shaw Robinson, and Ellen McLaughlin, who delighted audiences when they flew above stage.
