The Denver Art Museum has approximately 30,000 members who approve the directors nominated by the Board of Trustees at the annual general membership meeting.

Form 990, Part VI, Section B, line 11B

The IRS Form 990 is completed annually and a copy is provided to the Museum's Board Secretary for review. The Chief Financial Officer (CFO) provides the Form 990 to the Museum Board's Finance/Audit Committee Chair for review. The Museum's CFO discusses any questions or concerns with the Secretary and the Finance/Audit Committee Chair and necessary changes are updated on the Form 990. Once the CFO is in agreement with the Secretary and the Finance/Audit Committee Chair regarding the finished Form 990, it is signed and dated by the Director and submitted to the IRS by the filing deadline. A copy is made available to all Museum Board Trustees prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

The Museum's Conflict of Interest Policy is designed to protect the Museum by defining what is a conflict of interest or potential conflict of interest and providing procedures to identify and address conflicts of interest and potential conflicts of interest. Museum trustees, members of committees with delegated powers from the Board of Trustees, officers (Chairman, Vice Chairman, Secretary, Treasurer), and specific employees including the Museum Director, Executive Assistant to Director, Deputy Directors, Chief Curator, Curator, Assistant or Associate Curator, Department Director, or Department Associate Director (all "Interested Persons") are all covered under the policy. On an annual basis, each Interested Person must complete a "Disclosure and Compliance" form. This form requests information concerning all actual or potential conflicts of interest involving Interested Persons, their immediate family members and certain entities in which they or their immediate family members have an interest. As new trustees join the Board, new committee members are appointed, new officers are elected, or new employees who are covered under the policy are appointed (if those individuals are not already Interested Persons by reason of holding another of these positions) such individuals are also required to complete the "Disclosure and Compliance" form. In case of an actual or potential conflict of interest, the Museum uses a process at the Executive Committee level to investigate actual or potential conflicts of interest. Following disclosure of an actual or potential conflict, the person or persons involved with the conflict are not permitted to participate in any discussions relevant to determining if a conflict of interest exists. They may, however, be counted in determining the presence of a quorum at a meeting of the Executive Committee at which a conflict is being reviewed and may make a presentation to the Executive Committee to disclose the conflict and answer questions relevant thereto, but must leave the meeting during the discussion of and vote on whether the transaction or arrangement at issue resulted in a conflict of interest. If a conflict does exist, the Policy dictates ensuing steps, including investigating alternatives to the proposed transaction or arrangement and appropriate disciplinary and corrective action. The Museum maintains records concerning investigations of actual and potential conflicts of interest.

Form 990, Part VI, Section B, line 15

The Museum's procedures for determining executive compensation include reviewing comparability data, monitoring the competitive market place, and approval by the executive committee of the Board of Trustees. Determining the compensation for the Museum's other officers and employees follows the Museum's compensation policies and practices. This includes reviewing comparability data, considering the competitive market place, and the review and approval by the Museum's executive management.

Part XII, Line 2C

The Finance/Audit committee meets annually with the independent CPA firm to review the results of the current audit and internal control recommendations, if any. The Finance/Audit committee also assumes the annual responsibility of approving the selection of the audit firm. There have been no changes in these processes from the prior year.

Financial Statement Notes

Part III, Line 1A:

The Museum's collections, which were acquired through contributions and purchases, are not recognized as assets on the statement of financial position. Purchases of collection items are recorded as decreases in net assets without donor restrictions in the year in which the works of art are acquired. Contributed collection art work are not reflected on the financial statements. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset classes. Museum policies require that such proceeds be used only to acquire additional art objects. All of the Museum's collection items are held for educational, research, exhibition, and curatorial purposes. Each of these collection items is catalogued, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously.

Part III, Line 4:

The Denver Art Museum (DAM) is dedicated to the collection, preservation, and presentation of art for broad and diverse audiences. With more than 70,000 works of art in its care, the DAM holds the largest and most comprehensive collection of world art between Kansas City and the West Coast. The Museum is an accessible, quality destination, usually welcoming over 800,000 visitors annually. The Museum is committed to its role as a cultural resource providing shared experiences of art and culture to the Rocky Mountain region and beyond. Collections are organized into twelve curatorial departments: Architecture and Design; Asian; Modern & Contemporary; Native Art (Indigenous Art of Native America, African Art, and Oceanic Art); Art of the Ancient Americas, Latin American Art, European and American Art Before 1900; Textile Art and Fashion; Western American; and Photography. The DAM strives to enrich the lives of present and future generations through the acquisition, presentation and preservation of works of art. The collections further the organization's exempt purpose by providing the sustenance necessary to educate visitors about the past, present and future, and inspire life-long learning.

IRS990/Desc0Exhibitions and Collections - See Schedule OExhibitions and Collections: Each year, the Denver Art Museum (DAM) presents exhibitions that provide a variety of experiences with art, regularly attracting more than 800,000 visitors annually. The Museum's approach to exhibitions celebrates the creativity of individual artists who have made an extraordinary impact, and ignites creativity through programs that provide engaging and interactive art experiences. Among the highlights in 2021:- Frida Kahlo, Diego Rivera, and Mexican Modernism from the Jacques and Natasha Gelman Collection, on view from October 25, 2020 through January 25, 2021, explored the Mexican modernism movement through more than 150 artworks. Featuring paintings and photographs by internationally celebrated artists Frida Kahlo, Diego Rivera, Lola lvarez Bravo, Gunther Gerzso, Mara Izquierdo, Carlos Mrida, and others, the exhibition took a closer look at the role that art, artists, and their supporters played in the emergence of national identity and creative spirit after the Mexican Revolution ended in 1920.- Senga Nengudi: Topologies was composed of more than 70 abstract and conceptual artworks by the internationally recognized artist, a prominent figure of the 1970s Black American avant-garde. Nengudi, an artist who has always been fascinated with the concepts of collaboration, movement, and improvisation, displayed works in Topologies that included performance art, sculpture, photography and mixed media that primarily utilize found objects such as pantyhose, rubber, foam, water, sand, and machines. Her practice invites viewers to respond to environment, community, and events by connecting them to their own experiences. On view from December 13, 2020 through April 11, 2021.- Paris to Hollywood: The Fashion and Influence of Vronique and Gregory Peck, March 14, 2021 through July 18, 2021, presented 100 ensembles--by 17 different couturiers and designers from around the world--from the wardrobe of Parisian writer, philanthropist, and fashion influencer Vronique Peck. A selection of haute couture, fashion sketches, photographs, film clips, family snapshots, and documents was exhibited publicly for the first time, providing a unique look into the style of one of Hollywood's most beloved couples. Through more than four decades of material from the 1950s to the 1990s, the presentation provided an overview of how fashion changed as the roles of women in society evolved in the 20th century. - Each/Other: Marie Watt and Cannupa Hanska Luger, on view from May 23, 2021 through August 22, 2021, was the first exhibition to feature together the work of Watt and Luger, two leading Indigenous contemporary artists whose processes focus on collaborative artmaking. Exploring the collective process of creation, Each/Other featured 26 mixed media sculptures, wall hangings, and large-scale installation works by Watt (Seneca, Scottish, German) and Luger (Mandan, Hidatsa, Arikara, Lakota and European), along with a new monumental artist-guided community artwork. While each artist's practice is rooted in collaboration, they have never before worked together or been exhibited alongside one another in a way that allows audiences to see both the similarities and contrasts in their work.- In the first US solo museum exhibition for South African contemporary artist Simphiwe Ndzube shown from June 13, 2021 through October 10, 2021, Oracles of the Pink Universe presented eight new works exploring the interplay between magical realism and history. The exhibition integrated themes related to power, conflict, and the search for freedom through a Pink Universe, an imaginative world that combines fantasy with the history of Ndzube's post-apartheid South Africa. A genre first conceptualized in Latin America, magical realism infuses reality with elements of the fantastical.
