“Several Members of the Board of Directors are on the Executive Committee of the AFP Board of Directors. Under the AFP bylaws and Board resolution, the Executive Committee may exercise the powers of the Board when the Board is not in session, but must report its actions to the Board at the next Board meeting. The Executive Committee may not: (1) amend, alter, or repeal the organization's bylaws or articles of incorporation; (2) elect, appoint, or remove any officer or director; or (3) authorize the disposition of any of the organization's property and assets.”

“The Organization has in place a conflict of interest policy covering all staff, directors and officers that it monitors through the quarterly meetings of the Board of Directors' Audit Committee and an annual employee survey. Should a conflict be disclosed, it is addressed by company management or the board, as appropriate.”

However, to reflect the sharing of employees, compensation has been shown in proportion to the hours worked for each organization. Accordingly, for each employee the amounts shown in Part VII, Column D and E and Schedule J, Part II, Section A, lines (i) and (ii) must be added together to agree to box 5 on the employee's Form W-2.”
