The organization has a written conflict of interest policy that is completed annually by directors and employees. Signed statements are on file at the organization's office. The (board or a duly constituted committee thereof) shall determine whether a conflict exists and in the case of an existing conflict, whether the contemplated transaction may be authorized as just, fair and reasonable to project fine. The decision of the (board or a duly constituted committee thereof) on these matters will rest in their sole discretion, and their concern must be the welfare of project fine and the advancement of its purpose.

Form 990, Page 6, Part VI, Line 15A

A performance review of the executive director is conducted annually by the executive committee of the board of directors. The review and any applicable salary adjustment is brought before the full board for a vote and documentation in the meeting minutes. The purpose of the review is to document the past year's performance, develop a work plan for the coming year, provide feedback for work related goals and determine what resources are needed to be successful. The review shall be written and specifically address each of the areas noted above. Following the performance review, the board of directors will meet in closed session to discuss the review. At this time, the board will also discuss any necessary compensation adjustments. Any adjustments will be voted upon by the board of directors and presented to the executive director.

Form 990, Page 2, Part III, Line 4D

Employment services: connect refugees and immigrants with employment and training to reach their economic goals. In 2023, 183 hours of services were provided to 160 individuals. Connecting cultures: this program offers monthly educational presentations by refugees and immmigrants about their culture and traditions. In 2023, 257 individuals participated. Welcoming table: this project is an opportunity for the community to come together to share a meal and build cross-cultural relationships. Activities were held bi-monthly, with 804 people attending a welcoming table event. Welcoming art: this project highlights the cultural and artistic traditions of area residents and brings people together to build a more welcoming and inclusive community. 2023 activities included a series of three art share and tell sessions, with 230 people participating. My hmong roots: providing hmong language classes for children. In 2023, 26 youth participated. Girls reaching above and beyond: designed to help girls age 10-18 discover their identity and strengths and create a roadmap to pursue their dreams. In 2023, 47 girls participated. College education connection: provides academic support and access to resources for youth as they pursue higher education. In 2023, 5 scholarships were awarded to program participants. Force: this program is designed for middle and high school boys and focuses on developing positive character traits and values, promoting healthy lifestyle choices, and preparing for financial stability. In 2023, 33 boys participated in program activities. Colorful growers: youth and their families participate in agricultural education, plan and plant their own garden plot, and sell their produce at local markets. In 2023, 26 individuals participated. Cultural arts & ancestry: this program offers art classes focused on a traditional or folk art, taught by local refugees or imimgrants. 2023 classes included puerto rican dancing, mexican corn husk dolls and hmong story cloth, and 44 people participated. Healthy connections: the goal of healthy connections is to engage refugees, immigrants and partners to build a community that is safe, welcoming and inclusive for all. In 2023, activities included regular meetings of the advisory groups in winona and st. Charles, arts and culture classes attended by 69 people, classes on sports or activities attended by 95 people, and gatherings in rural areas attended by 80 people. Early learning program: provides resources, education and support for refugee and immigrant families with young children age 0-5. Activities include in-home visits to families focused on cognitive and social learning, mental health and parental engagement. During 2023, 426 visits were conducted with families.

In accordance with professional standards, the organization follows the statutory requirements for their income tax accounting and generally avoids risks associated with potentially problematic tax positions that may be challenged upon examination. Management believes any liability resulting from taxing authorities imposing additional income taxes from activities deemed to be unrelated to the organization's tax-exempt status would not have a material effect on the accompanying financial statements.

HEALTHY CONNECTIONS: THE GOAL OF HEALTHY CONNECTIONS IS TO ENGAGE REFUGEES, IMMIGRANTS AND PARTNERS TO BUILD A COMMUNITY THAT IS SAFE, WELCOMING AND INCLUSIVE FOR ALL. IN 2023, ACTIVITIES INCLUDED REGULAR MEETINGS OF THE ADVISORY GROUPS IN WINONA AND ST. CHARLES, ARTS AND CULTURE CLASSES ATTENDED BY 69 PEOPLE, CLASSES ON SPORTS OR ACTIVITIES ATTENDED BY 95 PEOPLE, AND GATHERINGS IN RURAL AREAS ATTENDED BY 80 PEOPLE.
