The Finance Committee reviewed the completed Form 990 and made a recommendation to the full Board of Directors regarding the acceptance and filing of the Form 990. The full Board of Directors was provided a copy of the Form 990, in addition to the Minnesota Attorney General's Annual Report prior to filing.

Form 990, Part VI, Section B, line 12C

Board members provide disclosure of any conflicts of interest at each meeting. These statements are reviewed by the Board President and the Executive Director. Any actual conflicts are shared with full board orally and in writing. If there are questions about whether a conflict exists, the full board votes. If a conflict exists, the involved board member does not vote on the matter. Additionally, if a direct financial conflict exists, the involved board member does not participate in the discussion. All proceedings related to conflicts of interest are documented in the meeting minutes or as otherwise appropriate.

Form 990, Part VI, Section B, line 15A

The Executive Director's salary is set by the Board of Directors each year. To reach this decision, the Planning, Operations, and Governance Committee of the board reviews peer salary information from the Minnesota Council of Nonprofits Salary Survey (published every two years) and makes a recommendation to the full board. The full board discusses and accepts or amends the committee's recommendation. The new salary amount is transmitted in writing (email) to both the Executive Director and to the Finance & Human Resources Manager. This process was last undertaken in 2013 for the Executive Director, B. Thoman.

Financial Statement Notes

Part X, Line 2:

TLC is exempt from federal income taxes under section 501(c)(3) of the Internal Revenue Service Code and from Minnesota income taxes. In addition, TLC has been determined by the Internal Revenue Service not to be a private foundation within the meaning of section 509(a) of the code. Therefore, charitable contributions are tax deductible. TLC follows the provisions of accounting for uncertainty in income taxes. This standard clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a recognition threshold for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. TLC's tax returns are subject to review by federal and state authorities. TLC is not aware of any activities that would jeopardize its tax-exempt status. The tax returns for the years 2011 to 2013 are open to examination by federal and state authorities.

Hosted seven workshops with staff of 29 social service organizations. Workshops included information on transportation budgeting, transit, bicycling, and car sharing. Added a major research component: individuals referred by social service partners are provided training and a package of transportation assistance (bus pass, bicycle, car sharing membership). TLC will track the impact of the use of transportation options on household expenses.

Network-completion projects including Bluff Street Extension of Dinkytown Greenway, 7th Street North pedestrian project, and three new bikeways in Saint Paul, on Charles Avenue Jefferson Avenue, and Griggs Avenue. Charles Avenue provides safe access to and along the Green Line light rail corridor. All together, the BWTC pilot added 100 miles of new bike ways and sidewalks in the pilot area. Such projects represent significant on-the-ground improvements for bicyclists and pedestrians in the Twin Cities. -Worked with the other pilot communities and Rails to Trails Conservancy under the direction of John A. Volpe National Transportation Systems Center of U.S. DOT to develop a final report on the pilot program that was released in the spring of 2014. The 2014 NTPP Report to Congress said that while Bike Walk Twin Cities investments "increased access for all people in the Minneapolis area (from 32 to 48 percent), on a percentage basis, underserved groups benefited most from the pilot investments."-Funding from BWTC and others in 2014 supported the Bike Library Program at Cycles for Change in Saint Paul and SPOKES Bike Walk Connect in Minneapolis, making available bicycles, training, and outreach to low-income and immigrant communities. -Continued to participate in meetings about the Franklin Avenue corridor, a high-traffic route that is a key connector for all road users and has a high crash rate for bicyclists and pedestrians. -Joined in three Open Streets community events in Minneapolis and Saint Paul. At the Franklin Avenue Open Streets event, TLC focused on elevating community voices and highlighting a need for local multimodal improvements via our Envisioning a Better Franklin Avenue video project. -Hosted monthly webinars on bicycle and pedestrian topics for transportation professionals and community members through the Association of Pedestrian and Bicycle Professionals.-Responsibility for fall counts of bicyclists and pedestrians shifted to the cities of Minneapolis and Saint Paul. The monthly counts continued through 2014. A report on seasonal variations in bicycle and pedestrian travel will be released in 2015.
