Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee shall consist of the board co-Chairs and such additional directors as may from time to time be designated by the affirmative vote of a majority of the entire board. The Executive Committee shall at all times be subject to the control and direction of the Board of Directors. The Executive Committee shall have and exercise the authority of the Board of Directors in the policy management of the business of the corporation in the interval between meetings of the board. The board co-Chairs will be the co-Chairs of the Executive Committee. Meetings of the Executive Committee may be called, from time to time, upon request of the board co-Chair or any two (2) members of the Executive Committee.

A draft of the Form 990 is initially reviewed by the Audit/Finance Committee. Once comments have been addressed from the Audit/Finance Committee the draft is provided for the full Board to review.

Form 990, Part VI, Section B, line 12C

All directors, officers and management level employees are covered under the conflict of interest policy. The Board Chair and President review conflict of interest statements and make the determination of whether a conflict exists. Actual conflicts are reviewed by the Executive Committee of the Board. The Board shall not enter into any contract or transaction with (a) one or more of its directors (b) a director of a related organization, or (c) an organization in or of which a director of KCS is a director, officer, or legal representative, or in some other way has a material financial interest unless: - That interest is disclosed or known to the Board - The Board approved, authorizes or ratifies the action in good faith - The approval is by a majority of directors (not counting the interested director) - At a meeting where a quorum is present (not counting the interested director) The interested director may be present for discussion to answer questions, but may not advocate for the action to be taken and must leave the room while a vote is taken. The minutes of all actions taken on such matters shall clearly reflect that these requirements have been met.

Financial Statement Notes

Part X, Line 2:

Keystone Community Services is organized as a Minnesota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(3), qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and has been determined not to be a private foundation under Section 509(a)(1). The entity is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the entity is subject to income tax on net income that is derived from business that are unrelated to its exempt purposes. The entity has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The entity believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entity would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0Keystone Basic Needs programs help families address crisis and build foundational stability. Keystone's three food shelves (Rice Street, Midway, and Roseville) and Keystone's Foodmobile comprise Ramsey County's largest food shelf network serving over 24,000 people each year. Screening for benefits, crisis assistance, referrals, and ongoing case management and coaching for participants to improve economic self-sufficiency and family stability are provided at our food shelf sites and the West 7th Community Center. Community education workshops address budgeting, housing, employment, nutrition, parenting and more. These services relieve immediate stress and crisis for low-income families while also helping them build a more stable and resilient foundation for the future. 2016 Results: * 24,685 individuals visited the Food Shelves, Foodmobile and Farmers Market fresh produce events * Distribution of 2.4 million pounds of nutritious food to families in need* 898 individuals (372 families) received emergency crisis assistance * 539 individuals (158 households) received Family Support Services including domestic violence services* 1,131 community volunteers contributed 20,319 hours of service for the Basic Need programs

Keystone provides a wide array of exercise, wellness, and social/recreational programs to help active seniors stay healthy, independent and socially connected. When seniors reach a point in life where they need more support, Keystone's neighborhood-based care managers work with seniors and any caregivers to conduct a thorough needs assessment and provide ongoing monitoring and coordination of needed services, including Meals on Wheels, Block Nurse services, homemaking and respite services, home modification, transportation, advocacy at doctor's appointments, and more. These services help seniors "age in place" staying safe, healthy and independent. Keystone also operates a History Tour program which provides educational tours for seniors.2016 Results: * 3,200 individuals received senior program services* 298 seniors received In-Home Services including Meals on Wheels and Homemaking * 1,918 seniors participated in activities offered to help older adults improve their health and reduce isolation* 1,221 Seniors and Adults with Disabilities received case management services to remain living independently in the community * 384 Meals on Wheels volunteers delivered 39,524 meals to seniors in the community

Keystone offers year-round afterschool programming for low-income youth at two sites. Community Kids at West 7th Community Center enrolls youth in grades K-10. The Hmong Youth and Family Program at McDonough Community Center enrolls youth in grades K-12. Keystone's top quality afterschool programs deliver evidence-based tutoring in reading, math and social-emotional skills, youth-directed activities, connections to caring adults, and parent support. Keystone Youth Programs help low-income youth in our community succeed in school as the foundation for adult self-sufficiency. Youth Express Program helps low-income young people succeed in their first job and opens the door to earning potential and post-secondary education and employment. Youth Express provides work readiness training to youth and paid apprenticeships for youth at its youth-directed enterprise, Express Bike Shop and at other Keystone program sites. Next Step training helps youth leverage their first job experience into post-secondary planning and their next part-time job.2016 Results: * 243 youth participated in the two afterschool youth programs* Over 80% of participating youth consistently improved in reading and 97% maintained and improved their literacy skills* 60 youth participated in Youth Express apprenticeships and/or employment training* 95% of youth apprentices gained skills and confidence in their ability to compete and succeed in the job market* 639 volunteers provided academic support, enrichment and skill development to youth
