Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee shall consist of the board co-Chairs and such additional directors as may from time to time be designated by the affirmative vote of a majority of the entire board. The Executive Committee shall at all times be subject to the control and direction of the Board of Directors. The Executive Committee shall have and exercise the authority of the Board of Directors in the policy management of the business of the corporation in the interval between meetings of the board. The board co-Chairs will be the co-Chairs of the Executive Committee. Meetings of the Executive Committee may be called, from time to time, upon request of the board co-Chair or any two (2) members of the Executive Committee.

Form 990, Part VI, Section B, line 11

A draft of the Form 990 is initially reviewed by the Audit/Finance Committee. Once comments have been addressed from the Audit/Finance Committee the draft is provided for the full Board to review.

Form 990, Part VI, Section B, line 12C

All directors, officers and management level employees are covered under the conflict of interest policy. The Board Chair and President review conflict of interest statements and make the determination of whether a conflict exists. Actual conflicts are reviewed by the Executive Committee of the Board. The Board shall not enter into any contract or transaction with (a) one or more of its directors (b) a director of a related organization, or (c) an organization in or of which a director of KCS is a director, officer, or legal representative, or in some other way has a material financial interest unless: - That interest is disclosed or known to the Board - The Board approved, authorizes or ratifies the action in good faith - The approval is by a majority of directors (not counting the interested director) - At a meeting where a quorum is present (not counting the interested director) The interested director may be present for discussion to answer questions, but may not advocate for the action to be taken and must leave the room while a vote is taken. The minutes of all actions taken on such matters shall clearly reflect that these requirements have been met.

Form 990, Part VI, Section B, line 15A

The President's terms of employment are determined by the agency's Board of Directors and reviewed annually by the Executive Committee of the Board. Salary is based on performance and comparability data with similar organizations. The VP/COO's (treasurer) terms of employment are determined by the President and are reviewed annually based on performance.

Additional Explanations

Form 990, Part III, line 2

Keystone Community Services acquired West Seventh Community Center in April 2015. As a result of this acquisition, the organization now offers active senior services at two multi-service centers and a history tour program. Youth services also expanded to include West Seventh Community Kids, a year-round afterschool and summer program for youth. The organization also expanded its Basic Needs programming to support individuals and families living in the West Seventh Street community.

Form 990, Part III, line 3

Keystone began operating a mobile foodshelf in March of 2015. The Foodmobile travels to neighborhoods identified as high need, with low access to nutritious food sources. This new mobile service ensures people with transportation barriers can access food shelf services. Our routes reach large numbers of low-income people within walking distance of their homes. Free farmer's market produce distributions were piloted at three sites in 2015, including the West 7th Community Center, and provide free produce items for low-income families and individuals.

Financial Statement Notes

Part X, Line 2:

Keystone Community Services and Urban Business Adventures are organized as Minnesota nonprofit corporations and have been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3), qualify for the charitable contribution deduction under Section 170(b)(1)(A)(vi), and have been determined not to be private foundations under Section 509(a)(1). Each entity is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the entities are subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. Each entity has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Each entity believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entities would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

Part XI, Line 4B - Other Adjustments:

Contribution included in fund balance in financial statements 72,668.

IRS990/Desc0Keystone Basic Needs programs help families address crisis and build foundational stability. Keystone's three food shelves (Rice Street, Midway, and Roseville) and Keystone's Foodmobile comprise Ramsey County's largest food shelf network serving over 23,000 people each year. Screening for benefits, crisis assistance, referrals, and ongoing case management and coaching for participants to improve economic self-sufficiency and family stability are provided at our food shelf sites and the West 7th Community Center. Community education workshops address budgeting, housing, employment, nutrition, parenting and more. These services relieve immediate stress and crisis for low-income families while also helping them build a more stable and resilient foundation for the future. 2015 Results: *A total of 25,103 people received basic need services*21,620 people (8,222 households) received over 2.1 million pounds of nutritious food *1,594 people (578 households) received crisis assistance or case management services *398 individuals (58 households) received holiday assistance via the Gifts of Hope program*668 individuals (184 households) received case management services*823 individuals (711 households) received Family Support Services including domestic violence services*607 community volunteers contributed 17,834 hours of service for the Basic Need programs

IRS990/ProgSrvcAccomActy2Grp/Desc0Keystone Senior Services help seniors "age in place," maintain health and participate in community life. Keystone provides a wide array of exercise, wellness, and social/recreational programs to help active seniors stay healthy, independent and socially connected. When seniors reach a point in life where they need more support, Keystone's neighborhood-based care managers work with seniors and any caregivers to conduct a thorough needs assessment and provide ongoing monitoring and coordination of needed services, including Meals on Wheels, Block Nurse services, homemaking and respite services, home modification, transportation, advocacy at doctor's appointments, and more. These services help seniors "age in place," staying safe, healthy and independent. As a result of the merger with West 7th Community Center, Keystone also operates a History Tour program which provides educational tours for seniors.2015 Results: *A total of 2,604 individuals received senior program services*In-Home Services (Meals on Wheels and Homemaking) - 358 seniors received services*Active Senior Programs (Exercise, Social and Educational activities) - 1,268 seniors received services*Case Management Services - 983 seniors received services *979 community volunteers contributed 11,140 hours of service for the Senior Program

IRS990/ProgSrvcAccomActy3Grp/Desc0Keystone Youth programs help children and youth develop social, academic and employment skills so they are prepared to be successful in school and in the community. Keystone offers year-round afterschool programming for low-income youth at two sites. Community Kids at West 7th Community Center enrolls youth in grades K-10. The Hmong Youth and Family Program at McDonough Community Center enrolls youth in grades K-12.
