Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee shall consist of the board chair and such additional directors as may from time to time be designated by the affirmative vote of a majority of the entire board. The Executive Committee shall at all times be subject to the control and direction of the Board of Directors. The Executive Committee shall have and exercise the authority of the Board of Directors in the policy management of the business of the corporation in the interval between meetings of the board. The board Chair will be the Chair of the Executive Committee. Meeting of the Executive Committee may be called, from time to time, upon request of the board Chair or any two (2) members of the Executive Committee.

A draft of the Form 990 is initially reviewed by the Audit/Finance Committee. Once comments have been addressed from the Audit/Finance Committe the draft is provided for the full board to review.

Form 990, Part VI, Section B, line 12C

All directors, officers, and management level employees are covered under the conflict of interest policy. The Board Chair and President review conflict of interest statements and make the determination of whether a conflict exists. Actual conflicts are reviewed by the Executive Committee of the Board. The Board shall not enter into any contract or transaction with (a) one or more of its directors (b) a director of a related organization, or (c) an organization in or of which a director of KCS is a director, officer, or legal representative, or in some other way has a material financial interest unless: -That interest is disclosed or known to the Board -The Board approves, authorizes, or ratifies the action in good faith -The approval is by a majority of directors (not counting the interested director) -At a meeting where a quorum is present (not counting the interested director) The interest director may be present for discussion to answer questions, but may not advocate for the action to be taken and must leave the room while a vote is taken. The minutes of all actions taken on such matters shall clearly reflect that these requirements have been met.

Form 990, Part III, line 3

Keystone declined to renew our case management contract with Suburban Ramsey Family Collaborative (SRFC) in July due to a reduction in funding support from Greater Twin Cities United Way for our basic needs programming. United Way support had provided funding for the program expenses that were not reimbursable via the SRFC contract including administration fees. We transferred clients to another organization that continues to contract with SRFC for these services.

Part X, Line 2:

Keystone Community Services and Urban Business Adventures are organized as Minnesota nonprofit corporations and are exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and Minnesota Statute 290.05. Management has evaluated and determined that there are no uncertain tax positions as of December 31, 2019 and 2018. During the years ended December 31, 2019 and 2018, the Organization has not incurred any interest or penalties on its tax returns. The Organization's tax returns are subject to possible examination by the taxing authorities. For federal tax purposes the tax returns essentially remain open for possible examination for period of three years after the date on which those returns are filed.

IRS990/Desc0Keystone Basic Needs programs help families address crisis and build foundational stability. Keystone's three food shelves (Rice Street, Midway, and Roseville) and Keystone's Foodmobile comprise Ramsey County's largest food shelf network serving over 27,000 people each year. Screening for benefits, crisis assistance, referrals, and ongoing case management and coaching for participants to improve economic self-sufficiency and family stability are provided at our food shelf sites and the West 7th Community Center. Community education workshops address budgeting, housing, employment, nutrition, parenting and more. These services relieve immediate stress and crisis for low-income families while also helping them build a more stable and resilient foundation for the future.2019 Results: The program brought in an estimated $1,592,518 of contributions. 24,482 individuals visited the food shelves, Foodmobile distributions and Farmers Market fresh produce events and we distributed nearly 2.4 million pounds of nutritious food to families in need. 587 households/1,214 individuals received emergency crisis assistance, 1,551 community volunteers contributed 18,936 hours of service valued at $522,255.

Keystone provides a wide array of exercise, wellness, and social/recreational programs (including a History Tours program) to help active seniors stay healthy, independent and socially connected. Keystone's neighborhood-based care managers work with seniors and any caregivers to conduct a thorough needs assessment and provide ongoing monitoring and coordination of needed services, including Meals on Wheels, Block Nurse services, homemaking and respite services, home modification, transportation, advocacy at doctor's appointments, and more. These services help seniors "age in place" staying safe, healthy and independent.2019 Results: The program brought in an estimated $637,007 of contributions. 3,021 individuals received senior program services in 2019. 368 seniors received In-Home Services including Meals on Wheels and Homemaking. 1,600 seniors participated in activities offered to help older adults improve their health and reduce isolation. 1,078 Seniors and Adults with Disabilities received case management services to remain living independently in the community. 506 volunteers contributed 9,790 hours of service to the senior program valued at $269,407

Keystone offers year-round afterschool programming for low-income youth at multiple sites. Community Kids at West 7th Community Center (K-11), the Teen Tutor program at McDonough Community Center (K-6), the Best Buy Teen Tech Center (7-12), and at Express Bike Shop (9-12). Keystone Youth Programs help low-income youth in our community succeed in school as the foundation for adult self-sufficiency.2019 Results: The program brought in an estimated $955,511 of contributions. 399 youth participated in Keystone youth programs. 84% of K-5 youth participated 30 days or more in programming during the year. 94% of K-5 youth maintained or improved their literacy skills (reading fluency) during the summer months. 44 youth participated in Youth Express apprenticeships and/or employment training. All of the Teen Tutors employed over the past four years have graduated high school and 90% are enrolled in post-secondary institutions. 229 volunteers provided 2826 hours of academic support, enrichment and skill development valued at $77,941.
