Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee shall consist of the board chair and such additional directors as may from time to time be designated by the affirmative vote of a majority of the entire board. The Executive Committee shall at all times be subject to the control and direction of the Board of Directors. The Executive Committee shall have and exercise the authority of the Board of Directors in the policy management of the business of the corporation in the interval between meetings of the board. The board Chair will be the Chair of the Executive Committee. Meeting of the Executive Committee may be called, from time to time, upon request of the board Chair or any two (2) members of the Executive Committee.

Form 990, Part VI, Section B, line 11B

A draft of the Form 990 is initially reviewed by the Audit/Finance Committee. Once comments have been addressed from the Audit/Finance Committe the draft is provided for the full board to review.

Form 990, Part VI, Section B, line 12C

All directors, officers, and management level employees are covered under the conflict of interest policy. The Board Chair and President review conflict of interest statements and make the determination of whether a conflict exists. Actual conflicts are reviewed by the Executive Committee of the Board. The Board shall not enter into any contract or transaction with (a) one or more of its directors (b) a director of a related organization, or (c) an organization in or of which a director of KCS is a director, officer, or legal representative, or in some other way has a material financial interest unless: -That interest is disclosed or known to the Board -The Board approves, authorizes, or ratifies the action in good faith -The approval is by a majority of directors (not counting the interested director) -At a meeting where a quorum is present (not counting the interested director) The interest director may be present for discussion to answer questions, but may not advocate for the action to be taken and must leave the room while a vote is taken. The minutes of all actions taken on such matters shall clearly reflect that these requirements have been met.

The President's terms of employment are determined by the agency's Board of Directors and reviewed annually by the Executive Committee of the Board. Form 990, Part III, line 3

Keystone eliminated the homemaking program in February 2020 due to declining participation. All homemaking participants received help transitioning to another community provider. In March 2020, Keystone shifted all of our program operations due to the pandemic. Our basic needs programs expanded and added programs and our youth and senior programs shifted to a virtual program model to ensure the safety of participants, staff and volunteers. Program modifications were made throughout the year to provide safe programming and support for community members impacted by the pandemic.

IRS990/Desc0Keystone Basic Needs programs help families address crisis and build foundational stability. Keystone's two food shelves (Rice Street and Midway) and Keystone's Foodmobile comprise Ramsey County's largest food shelf network. In 2020 our basic needs services expanded to support Ramsey County residents impacted by the pandemic. We offered 21 drive thru food distributions and added a food shelf home delivery program 2020 Results: 29,477 individuals visited the food shelves, Foodmobile distributions, drive thru events and home delivery program and we distributed nearly 1.8 million pounds of nutritious food to families in need. 280 households/532 individuals received emergency crisis assistance, 1,547 community volunteers contributed 15,784 hours of service valued at $464,681.

IRS990/ProgSrvcAccomActy2Grp/Desc0Keystone Senior Services help seniors "age in place", maintain health and participate in community life. Keystone provides a wide array of exercise, wellness, and social/recreational programs (including a History Tours program) to help active seniors stay healthy, independent and socially connected. Keystone's neighborhood-based care managers work with seniors and any caregivers to conduct a thorough needs assessment and provide ongoing monitoring and coordination of needed services, including Meals on Wheels, Block Nurse services, transportation, advocacy at doctor's appointments, and more. These services help seniors "age in place" staying safe, healthy and independent. In 2020, due to the pandemic, we made significant modifications to the programs to ensure that our participants and volunteers were safe so overall participation in our active seniors program dropped.2020 Results: 2,255 individuals received senior program services in 2020. 550 seniors received In-Home Services including Meals on Wheels and other services. 677 seniors participated in activities offered to help older adults improve their health and reduce isolation. Due to the pandemic, we were not able to offer in-person programs but were able to modify programs so we could offer them virtually. 1,028 Seniors and Adults with Disabilities received case management services to remain living independently in the community. 276 volunteers contributed 2,363 hours of service to the senior program valued at $69,552. Volunteer hours were reduced in 2020 due to program changes made to ensure the safety of staff, participants and volunteers

Keystone offers year-round afterschool programming for low-income youth at multiple sites. Community Kids at West 7th Community Center (K-11), the Teen Tutor program at McDonough Community Center (K-6), the Best Buy Teen Tech Center (7-12), and at Express Bike Shop (9-12). Keystone Youth Programs help low-income youth in our community succeed in school as the foundation for adult self-sufficiency. In 2020, due to the pandemic, we moved most of our programming to virtual so we could ensure the safety of our participants, their families, our staff and volunteers.2020 Results: 231 youth participated in Keystone youth programs. 78% of K-5 youth participated 30 days or more in programming during the year. 83% of K-5 youth maintained or improved their literacy skills (reading fluency) during the summer months. 39 youth participated in Youth Express apprenticeships and/or employment training. 72 volunteers provided 726 hours of academic support, enrichment and skill development valued at $21,373. Overall participation in youth programs and volunteer support declined due to the program changes needed to ensure the safety of participants, staff and volunteers.
