Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were changed in march 2020 to clarify that the board is responsible for day to day operations in the absence of the president/ceo. This responsibility can be reassigned as deemed necessary. Furthermore, the number of members on the board was revised from ten to 8-12, and the election of officers was clarified to occur in three year terms. Furthermore, the responsibility of committee was clarified, including how board members are assigned to committees.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by positive alternatives' outside auditors with input and review by staff. The board's finance committee reviews the draft form and requests changes, if any, before recommending approval by the board. The board reviews the draft form recommended for approval by the finance committee, requires changes, if any, and approves the final form. The board president signs the form after approval by the board.

Form 990, Part VI, Section B, Line 12C

Each board and management staff member must annually (or at initial appointment or hire) complete a comprehensive conflict of interest disclosure statement. In addition, should a new actual or potential conflict occur the board or management staff member must immediately complete a disclosure statement. Each disclosure statement is submitted to the president or board chair. Each disclosure statement is promptly reviewed by the board at large and materiality of any identified actual or potential conflict is considered. If determined to be immaterial the conflict is recognized and authorized. For instance a local police officer board member may provide police services to a group home. If the conflict is determined to be material the party is prohibited from acting on any matter related to the conflict relationship.

Form 990, Part VI, Section B, Line 15

The board's personnel committee annually reviews the performance of and recommends the board set the compensation of the officers. The president reviews, recommends and sets the compensation of all program directors. Reviews include an informal survey of employee compensation at organizations similar in complexity and geographic location. Compensation is changed effective with the first payroll of the year. This process was conducted in november and december 2020 for 2021 compensation.

During quarter 2, 2020, positive alternatives business operations were partially suspended due to state of wisconsin imposed covid-19 lockdown restrictions. The wisconsin lockdown period ran from march 25, 2020 to may 26, 2020. Positive alternatives locked down activities at its five group homes for troubled youth, and completely suspended operations of all community based services activities during the lockdown period. All activities were resumed following expiration of the lockdown order. The wisconsin lockdown orders are shown at website https://evers.wi.gov/pages/newsroom/executive-orders.aspx. Reference emergency order #12 "safer at home order" dated march 24, 2020 and emergency order #28 "safer at home order" dated april 16, 2020.

PART X, LINE 2:

The organization follows asc topic 740-10, accounting for uncertainty in income taxes. Asc topic 740-10 requires entities to determine whether it is more likely than not that a tax position will be sustained upon examination of the technical merits of the position, assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. The organization recorded no liabilities for uncertain tax positions or unrecognized tax benefits during the year ended december 31, 2020 and 2019.

CASE MANAGERS ARE TRAINED IN THE USE OF MOTIVATIONAL INTERVIEWING AND USE THESE SKILLS TO HELP THE YOUTH AND THE FAMILY TO REACH THEIR GOALS. COMMUNITY BASED SERVICES PROVIDES IN-HOME, SCHOOL AND COMMUNITY SERVICES TO PROVIDE YOUTH WITH TOOLS FOR SUCCESS. SERVICES ARE PROVIDED THROUGH THE PROGRAM'S DAY SUPERVISION (12 CLIENTS SERVED IN 2020), MENTORING (46 CLIENTS SERVED IN 2020), AND SUPERVISED VISITATION (25 CLIENTS SERVED IN 2020).
