Governance Explanations

Form 990, Part VI, Section B, line 11B

Form 990 is prepared by Positive Alternatives' outside auditors with input from staff. The Board's Finance Committee reviews the draft form and requires changes, if any, and recommends approval by the board. The Board reviews the draft form recommended for approval by the Finance Committee, requires changes, if any, and approves the final form. The Board president signs the form after approval by the Board.

Form 990, Part VI, Section B, line 12C

Each Board and management staff member must annually complete a comprehensive Conflict Of Interest Disclosure Statement. In addition, should a new actual or potential conflict occur the Board or management staff member must immediately complete a Disclosure Statement. Each Disclosure Statement is submitted to the executive director or Board president. Each Disclosure Statement is promptly reviewed by the Board at large. Materiality of any identified actual or potential conflict is considered. If a conflict of interest is determined to be immaterial the conflict is recognized and authorized. For instance a local police officer board member may provide police services to a group home. If material the party is prohibited from acting on any matter related to the conflict relationship.

The Board's Personnel Committee annually reviews the performance and compensation of the executive director and top management. After each review the Committee will then recommend any compensation change to the Board. The Board considers and potentially approves pay recommendations. Board members serve without compensation.

During 2016 Positive Alternatives contracted to provide group home services exclusively to Marathon County, Wisconsin beginning in June, 2017. Purchase of this fifth group home was under contract at year end to be consummated in January 2017. Remodeling will begin after the purchase is complete. Program startup activities began in late 2016 in preparation for the group home licensure and opening.

The Organization follows ASC Topic 740-10, Accounting for Uncertainty in Income Taxes. ASC Topic 740-10 requires entities to determine whether it is more likely than not that a tax position will be sustained upon examination of the technical merits of the position, assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. The Organization recorded no assets or liabilities for uncertain tax positions or unrecognized tax benefits for 2016 and 2015.

IRS990/Desc0Group HomesPositive Alternatives, inc. manages four group homes; Positive Alternatives Amery, Positive Alternatives Menomonie, Positive Alternatives River Falls, and Positive Alternatives Wood county are eight bed co-ed group foster homes (Amery serves females only). Each home is licensed by the Wisconsin department of children and families. Operation of each house is governed by Wisconsin administrative code DCF 57. The homes provide structure, safety, and accountability to youth in need of alternate care. Each home offers long term, short term, temporary shelter, non-secure 72-hour holds, respite, and crisis placements. the group homes offer 24-hour awake supervision and support to youth ages 12-17. Wood county home serves youth from that county only. In 2016, Menomonie provided services to 155 youth, Amery served 51 youth, River Falls served 73 youth, and Wood County 97. Youth clients from 29 counties were served.

The program is also used in conjunction with waiver and comprehensive community services funding to assist in stabilization of mental health issues and behaviors in the home and school. Case managers are trained in the use of motivational interviewing and use these skills to help the youth and the family to reach their goals. Intervention Services provides in-home, school and community services to provide youth with tools to avoid further trouble and out of home placements. Services are provided through the program's day supervision (44 clients in 2016), Positive Alternatives Support Services or pass (48 clients served), check and connect (16 clients served) and supervised visitation (count included with pass).

Mentoring, parenting and educational programming are provided to give youth and families resources necessary to help prevent continued family stress. A total of 125 hotline calls, 123 texts and 2 social media contacts from 8 identifiable counties were received on the 24 hours crisis line resulting in 239 hotline counseling sessions, 4 face-to-face counseling, 4 family mediation sessions and 2 youth receiving immediate group home shelter. Community Street Outreach programs touched 6,873 youth and 1,861 adults through 75 school presentations community events. The Strengthening Families program reached 2 families (adults and youth), and the sandcastles divorce programs reached 114 parents and 85 youth.
