Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 is distributed to the chair of the board for review prior to filing. The chair shares the form 990 with the other board members as needed and at the chair's discretion.

Form 990, Part VI, Section B, Line 12C

Each board member, officer, and key employee is required to annually affirm that they understand the conflict of interest policy, affirm that they have no conflicts of interest, and disclose any conflicts of interst that may exist. "covered persons" are required to disclose any possible conflict of interest as soon as they arise. After the "covered person" has disclosed the existence of a financial interest or a possible financial interest, the board shall determine if a conflict of interest exists because the "covered person" has an actual financial interest in the proposed transaction and that he or she shall benefit from such proposed transaction. If the board has reasonable cause to believe that a "covered person" has failed to disclose a financial interest, it shall inform the "covered person" of the basis for such belief and afford the "covered person" an opportunity to explain the failure of such disclosure.

Form 990, Part VI, Section B, Line 15

The compensation for the ceo/president and highest compensated employees is based on compensation of comparable positions at universities and teaching colleges, compensation of comparable positions at nonprofit organizations of similar purpose and budget, and compensation of employees at most recent employers. The compensation for the ceo/president is approved by the board of directors.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request to the public.

Financial Statement Notes

PART X, LINE 2:

The organization follows accounting requirements associated with uncertainty in income taxes using the provisions of the financial accounting standards board ("fasb") accounting standards codification ("asc") 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more likely than not that the positions will not be sustained upon examination by the taxing authorities. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition. As of december 31, 2019 and 2018, the organization had no uncertain tax positions that qualified for either recognition or disclosure in the financial statements.

IRS990/ProgSrvcAccomActy2Grp/Desc0RESEARCH: CLIMATE CENTRAL SCIENTISTS PUBLISH PEER-REVIEWED RESEARCH ON CLIMATE SCIENCE; ENERGY; IMPACTS SUCH AS SEA LEVEL RISE; CLIMATE ATTRIBUTION AND MORE. OUR INDEPENDENT RESEARCH IS DESIGNED TO ENGAGE THE PUBLIC BY ILLUMINATING THE SCIENTIFIC FACTS OF CLIMATE, USING PIONEERING ANALYSIS AND DATA VISUALIZATION TECHNIQUES. OUR SURGING SEAS PROGRAM AND ITS SUITE OF INTERACTIVE WEB-BASED TOOLS DEPICTING THREATS FROM SEA LEVEL RISE AND COASTAL FLOODING CONTINUE TO BE USED TO INFORM RISK ASSESSMENTS, EMERGENCY PREPAREDNESS EFFORTS, COMMUNICATION ACTIVITIES, AND POLICY ANALYSES. THE SEA LEVEL RISE SCIENTISTS COMPLETED WORK ON THE NEXT GENERATION OF GLOBAL MAPS, COASTAL/DEMTM. THE IMPROVED TOOL ALLOWED FOR GREATER PRECISION IN THE ASSESSMENT OF THE IMPACTS OF SEA LEVEL RISE ON SENSITIVE AREAS OF RISK SUCH AS AFFORDABLE HOUSING EXPOSED TO COASTAL FLOOD RISK. THE RESEARCH CONDUCTED AND THE FINALIZED COASTAL/DEMTM TOOL HIGHLIGHTED A THREEFOLD INCREASE IN THE ESTIMATES OF GLOBAL VULNERABILITY TO SEA-LEVEL RISE AND COASTAL FLOODING. THE NEW MAPS WERE RELEASED IN OCTOBER 2019.THE PAPER RELEASED IN SUPPORT OF THE COASTAL DEMTM RESEARCH AND TOOLS WAS THE #1 CLIMATE SCIENCE PAPER OF 2019.IN 2019, CLIMATE CENTRAL EXTENDED THE ENTERPRISE PROGRAM WHICH FOCUSES ON MARKETING AND LICENSING ORGANIZATIONAL TOOLS AND DATA TO DOMESTIC AND FOREIGN CORPORATIONS SUCH AS INSURANCE AND REAL ESTATE COMPANIES, RATING AGENCIES AND NATIONAL, STATE AND LOCAL GOVERNMENTAL ENTITIES.OUTREACH AND EDUCATION CONTINUED TO BE A KEY COMPONENT OF DELIVERING THE SEA LEVEL RISE INFORMATION TO AUDIENCES MOST IMPACTED. CLIMATE CENTRAL CONTINUED ITS RELATIONSHIP WITH NAACP TRAINING TEAMS, WORKING WITH COMMUNITIES IN NEED OR SUPPORT.
