Governance Explanations

Form 990, Part VI, Section B, Line 11

A copy of the form 990 is distributed to the chair of the board for review prior to filing. The chair shares the form 990 with the other board members as needed and at the chair's discretion.

Form 990, Part VI, Section B, Line 12C

Each board member , officer, and key employee is required to annually affirm that they understand the conflict of interest policy, affirm that they have no conflicts of interest, and disclose any conflicts of interest that may exist. "covered persons" are required to disclose any possible conflict of interest as soon as they arise. After the "covered person" has disclosed the existence of a financial interest or a possible financial interest, the board shall determine if a conflict of interest exists because the "covered person" has an actual financial interest in the proposed transaction and that he or she shall benefit from such proposed transaction. If the board has a reasonable cause to believe that a "covered person" has failed to disclose a financial interest, it shall inform the "covered person" of the basis for such belief and afford the "covered person" an opportunity to explain the failure of such disclosure.

Form 990, Part VI, Section B, Line 15

The compensation for the ceo/president and highest compensated employees is based on compensation of comparable positions at universities and teaching colleges, compensation of comparable positions at nonprofit organizations of similar purpose and budget, and compensation of employees at most recent employers. The compensation for the ceo/president is approved by the board of directors.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request to the public.

Financial Statement Notes

PART X, LINE 2:

The organization follows accounting requirements associated with uncertainty in income taxes using the provisions of fasb asc 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more likely than not that the positions will be sustained upon examination by the taxing authorities. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition. As of december 31, 2014 and 2013, the organization had no uncertain tax positions that qualified for either recognition or disclosure in the financial statements. Additionally, the organization had no interest or penalties related to income taxes. The organization files income tax returns in the u.s. Federal jurisdiction and in various states. With few exceptions, the organization is no longer subject to u.s. Federal or state income tax examinations by taxing authorities for years before 2011.

IRS990/Desc0COMMUNICATION: THE ORGANIZATION COMMUNICATES FACTUAL INFORMATION TO HELP THE PUBLIC AND POLICYMAKERS MAKE SOUND CHOICES ABOUT CLIMATE CHANGE. CLIMATE CENTRAL REACHES THE PUBLIC THROUGH WEB, PRINT, AND BROADCAST JOURNALISM AT THE NATIONAL AND LOCAL LEVELS.IN 2011, THE ORGANIZATION LAUNCHED A SUCCESSFUL PILOT PROGRAM WITH LOCAL TV METEOROLOGISTS TO PROVIDE A STEADY STREAM OF SCIENTIFICALLY GROUNDED CLIMATE CHANGE INFORMATION. THROUGH THIS PROGRAM, CLIMATE MATTERS, WE NOW PROVIDE LOCAL CLIMATE CHANGE ANALYSES AND GRAPHICS TO 200 METEOROLOGISTS AT 154 STATIONS IN 91 MARKETS NATIONWIDE. IN 2014, WE ADDED 37 METEOROLOGISTS FROM SPANISH-SPEAKING STATIONS, ALLOWING US TO BRING CLIMATE CHANGE MESSAGES TO AN UNDER-SERVED BUT HIGHLY ENGAGED POPULATION. THIS PROGRAM PROVIDES PROFESSIONAL DEVELOPMENT/EDUCATIONAL OPPORTUNITIES FOR METEOROLOGISTS THROUGH WORKSHOPS, WEBINARS AND CONFERENCES, WHICH HELP THEM GROW THEIR SKILLS AS CLIMATE EDUCATORS. WE ARE DEVELOPING TOOLS FOR METEOROLOGISTS TO USE AS THEY INTERACT WITH THEIR LOCAL COMMUNITIES AT LOCAL FUNCTIONS, WHERE THEY OFTEN FIELD QUESTIONS ABOUT CLIMATE CHANGE. FINALLY, WE ARE NOW WORKING ON PROVIDING SCIENCE-BASED ANALYSES AND HIGH-QUALITY CLIMATE COMMUNICATIONS TOOLS TO MEET THE EXPRESSED NEEDS OF INTERNATIONAL WEATHERCASTERS. CLIMATE CENTRAL'S WEBSITE COVERS CLIMATE THROUGH NEWS AND FEATURE STORIES, COLUMNS, BLOGS, PODCASTS, AND INTERACTIVE GRAPHICS AIMED AT SHOWING AMERICANS WHY CLIMATE CHANGE MATTERS AND HOW IT AFFECTS THEM PERSONALLY AND IN THEIR COMMUNITIES. CLIMATECENTRAL.ORG'S WEBSITE TRAFFIC SOARED TO 18 MILLION PAGE VIEWS IN 2014 (NEARLY DOUBLE THE NUMBER OF VIEWS IN 2013); AN AVERAGE OF 450,000 VISITORS CAME TO OUR WEBSITE EACH MONTH; AND THE SITE CONTINUED TO GROW CLIMATE CENTRAL'S BRAND THROUGH EARNED RELATIONSHIPS WITH MEDIA, PARTNERSHIPS, AND SOCIAL MEDIA. STORIES FROM THE EDITORIAL TEAM GENERATED MORE THAN 800 HIGHLIGHTS IN PRINT, DIGITAL, TV AND RADIO MENTIONS. IN ADDITION, MORE THAN 600 STORIES WERE REPUBLISHED IN THEIR ENTIRETY ELSEWHERE ON THE INTERNET, IN LARGE PART DUE TO OUR CONTENT PARTNERSHIPS, WHICH NOW TOTAL TWO DOZEN, AND OUR CONTENT IS FEATURED ON PARTNER SITES THAT REACH 750 MILLION UNIQUE VISITORS PER MONTH. THIS YEAR, WE ALSO LAID THE GROUNDWORK FOR OUR WEATHER-CLIMATE WEBSITE, WXSHIFT, WHICH WILL LEVERAGE THE RESEARCH WE ARE ALREADY CONDUCTING TO PRODUCE LOCALIZED CONTENT FOR THE CLIMATE MATTERS PROGRAM INTO A PUBLICLY AVAILABLE WEBSITE THAT MERGES CLIMATE SCIENCE INFORMATION WITH THE LOCAL WEATHER CONDITIONS REPORT. WXSHIFT WILL INTEGRATE REGIONAL CLIMATE TRENDS WITH LOCAL WEATHER CONDITIONS IN EVERY ZIP CODE ACROSS THE US.

IRS990/ProgSrvcAccomActy2Grp/Desc0RESEARCH: CLIMATE CENTRAL SCIENTISTS PUBLISH PEER-REVIEWED RESEARCH ON CLIMATE SCIENCE; ENERGY; IMPACTS SUCH AS SEA LEVEL RISE; CLIMATE ATTRIBUTION AND MORE. OUR INDEPENDENT RESEARCH IS DESIGNED TO ENGAGE THE PUBLIC AND ILLUMINATE THE SCIENTIFIC FACTS OF CLIMATE, USING PIONEERING ANALYSIS AND DATA VISUALIZATION TECHNIQUES. IN 2012, THE ORGANIZATION LAUNCHED THE JOINT RESEARCH AND WEB PROJECT, SURGING SEAS, WHICH PROVIDES INTERACTIVE, ON-LINE MAPS, TIMELINES AND ANALYSIS OF LOCAL SEA LEVEL RISE AND COASTAL FLOODING RISK THROUGHOUT THE UNITED STATES AND OVER THIS CENTURY. THIS TOOL IS THE FIRST-IN-THE-NATION INTERACTIVE SEA LEVEL RISE MAP AND ALLOWS ANY AMERICAN TO TYPE IN THEIR ZIP CODE TO LEARN THEIR COMMUNITY'S RISK OF BEING FLOODED, AND THE TIMEFRAME, DUE TO STORM SURGE AND SEA LEVEL RISE. SURGING SEAS 2.0 WAS RELEASED IN 2013, WHICH CONSISTS OF 2 PARTS: THE SURGING SEAS RISK FINDER AND THE SUBMERGENCE RISK MAP. THIS NEW TOOL ENABLES DETAILED ANALYSES THAT SHOW VULNERABILITY TO FLOODING FROM COMBINED SEA LEVEL RISE, STORM SURGE AND TIDES. IN ADDITION, IT PROJECTS PERMANENT SUBMERGENCE DUE TO LONG-TERM SEA LEVEL RISE AND CAN BE CALIBRATED TO REFLECT VARYING CARBON EMISSION SCENARIOS. THIS YEAR, WE ROLLED OUT ANALYSES AND NEW MAPS IN 18 STATES PLUS WASHINGTON, D.C. TEN LOCAL GOVERNMENTS - FROM BOSTON, MA, TO BEAUFORT, SC, TO HAMPTON, VA - AND FIVE NGOS, AS WELL AS ORGANIZATIONS LIKE THE FLORIDA REGIONAL PLANNING COUNCIL, THE UNION OF CONCERNED SCIENTISTS, AND THE CLEO INSTITUTE, USED THE SURGING SEAS RESEARCH IN MEANINGFUL WAYS, SUCH AS PREPARING THE TOWNSPEOPLE AND LOCAL BUSINESS LEADERS TO DISCUSS AND PREPARE FOR FUTURE IMPACTS. OUR FIRST GLOBAL SEA LEVEL RISE IMPACTS MAP, RELEASED IN LATE OCTOBER, WAS COVERED IN THE NEW YORK TIMES AND MAJOR OUTLETS IN CHINA, SINGAPORE, MALAYSIA, SOUTH KOREA, AND THE UNITED ARAB EMIRATES.CONDUCTED RESEARCH TO HELP THE PUBLIC UNDERSTAND HOW CLIMATE CHANGE HAS DRAMATICALLY INCREASED THE ODDS OF EXTREME WEATHER EVENTS AS THEY OCCUR. OUR ABILITY TO QUICKLY GENERATE SOPHISTICATED AND HIGHLY ACCURATE FORECASTING AROUND EXTREME WEATHER EVENTS HAS ALLOWED US TO REACH A LARGER AUDIENCE WHO MAY BE RECEPTIVE TO INFORMATION ABOUT LINKS BETWEEN EXTREME WEATHER AND CLIMATE CHANGE. THIS MAXIMIZES OUR ABILITY TO CONNECT WITH A CAPTIVE AUDIENCE AND TO PROVIDE VALUABLE SERVICE TO LOCAL LEADERS AND METEOROLOGISTS.
