Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 is distributed to the chair of the board for review prior to filing. The chair shares the form 990 with the other board members as needed and at the chair's discretion.

Form 990, Part VI, Section B, Line 12C

Each board member, officer, and key employee is required to annually affirm that they understand the conflict of interest policy, affirm that they have no conflicts of interest, and disclose any conflicts of interst that may exist. "covered persons" are required to disclose any possible conflict of interest as soon as they arise. After the "covered person" has disclosed the existence of a financial interest or a possible financial interest, the board shall determine if a conflict of interest exists because the "covered person" has an actual financial interest in the proposed transaction and that he or she shall benefit from such proposed transaction. If the board has reasonable cause to believe that a "covered person" has failed to disclose a financial interest, it shall inform the "covered person" of the basis for such belief and afford the "covered person" an opportunity to explain the failure of such disclosure.

Form 990, Part VI, Section B, Line 15

The compensation for the ceo/president and highest compensated employees is based on compensation of comparable positions at universities and teaching colleges, compensation of comparable positions at nonprofit organizations of similar purpose and budget, and compensation of employees at most recent employers. The compensation for the ceo/president is approved by the board of directors.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request to the public.

Form 990, Part III, Line 2

Partnerships journalism: the organization brings a partnerships journalism initiative to the service of the two core programs, climate matters and sea level rise, to add depth to the understanding of the human impacts of climate change and, when applicable, its promising solutions. Partnering with local and national media organizations, the organization produces and helps develop stories for a wide variety of print, digital, radio, and tv outlets. For example, in 2018, the organization partnered with pbs newshour and the pensacola news journal for a story on "living shorelines" in florida, and with kqed, an npr affiliate in california, for a feature story on the air pollution and the health impacts of wildfires. The organization's related story appeared on the front page of the idaho statesman. Enterprise: in addition to these three programs, there is another program under development titled "enterprise" which focuses on marketing organizational tools and data to domestic and foreign corporations such as insurance and real estate companies, rating agencies and national, state and local governmental entities.

Form 990, Part IX, Line 11G

Professional fees: program service expenses 663,706. Management and general expenses 102,691. Fundraising expenses 108,227. Total expenses 874,624.

Related Party Transactions- Schmidt Family Foundation

Financial Statement Notes

PART X, LINE 2:

The organization follows accounting requirements associated with uncertainty in income taxes using the provisions of the financial accounting standards board ("fasb") accounting standards codification ("asc") 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more likely than not that the positions will not be sustained upon examination by the taxing authorities. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition. As of december 31, 2018 and 2017, the organization had no uncertain tax positions that qualified for either recognition or disclosure in the financial statements.

THE CLIMATE MATTERS PROGRAM TEAM CONTINUED TO PROVIDE TRAINING AND GUIDANCE USERS THROUGH WEBINARS, WORKSHOPS AND PARTICIPATION AT PROFESSIONAL ORGANIZATION MEETINGS.FINALLY, THE CLIMATE MATTERS PROGRAM TEAM, WORKING WITH OUR RESEARCH SCIENTISTS LAUNCHED TWO TOOLS ENHANCING REPORTING CAPABILITIES ON EXTREME WEATHER EVENTS AND PROVIDING SOLAR AND WIND ENERGY FORECASTS. FOLLOWING ON THE CHANGE IN JOURNALISM PROCESS STARTED IN 2017, CLIMATE CENTRAL EMBARKED ON A PARTNERSHIP JOURNALISM STRUCTURE, ALIGNING WITH LOCAL JOURNALISTS TO CREATE MORE LOCALLY FOCUSED, DATA-DRIVEN FEATURES. THE RESULTING STORIES WERE FEATURED IN MANY LOCAL DISTRIBUTION NEWSPAPERS SUCH AS THE ARIZONA DAILY NEWS, THE PENSACOLA NEWS JOURNAL AND THE IDAHO STATESMAN
