Governance Explanations

Form 990, Part VI, Section B, Line 11B

A copy of the form 990 is distributed to the chair of the board for review prior to filing. The chair shares the form 990 with the other board members as needed and at the chair's discretion.

Form 990, Part VI, Section B, Line 12C

Each board member, officer, and key employee is required to annually affirm that they understand the conflict of interest policy, affirm that they have no conflicts of interest, and disclose any conflicts of interst that may exist. "covered persons" are required to disclose any possible conflict of interest as soon as they arise. After the "covered person" has disclosed the existence of a financial interest or a possible financial interest, the board shall determine if a conflict of interest exists because the "covered person" has an actual financial interest in the proposed transaction and that he or she shall benefit from such proposed transaction. If the board has reasonable cause to believe that a "covered person" has failed to disclose a financial interest, it shall inform the "covered person" of the basis for such belief and afford the "covered person" an opportunity to explain the failure of such disclosure.

Form 990, Part VI, Section B, Line 15

The compensation for the ceo/president and highest compensated employees is based on compensation of comparable positions at universities and teaching colleges, compensation of comparable positions at nonprofit organizations of similar purpose and budget, and compensation of employees at most recent employers. The compensation for the ceo/president is approved by the board of directors.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request to the public.

Financial Statement Notes

PART X, LINE 2:

The organization follows accounting requirements associated with uncertainty in income taxes using the provisions of the financial accounting standards board ("fasb") accounting standards codification ("asc") 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more likely than not that the positions will not be sustained upon examination by the taxing authorities. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure, and transition. As of december 31, 2017 and 2016, the organization had no uncertain tax positions that qualified for either recognition or disclosure in the financial statements.

IN 2017, CM CONTINUED TO PRODUCE WEEKLY RELEASES, MANY OF WHICH WERE CUSTOMIZED FOR LOCAL MEDIA MARKETS. THESE MATERIALS WERE ALSO MADE PUBLICLY AVAILABLE VIA THE CLIMATE CENTRAL WEB SITE. ALONG WITH OUR WEEKLY DISTRIBUTIONS, WE CONTINUED TRAINING AND OUTREACH EFFORTS FOR METEOROLOGISTS. WE HOSTED 6 TRAINING WEBINARS AND 2 WORKSHOPS, WHILE ALSO PRESENTING AT 8 PROFESSIONAL MEETINGS."DURING 2017, THE FOCUS OF CLIMATE CENTRAL'S JOURNALISTIC WORK SHIFTED FROM DAILY REPORTING OF MULTIPLE SHORT-FORM STORIES TO PRODUCTION OF LONG-FORM FEATURE STORIES RELATING TO LOCAL IMPACTS OF AND SOLUTIONS TO CLIMATE CHANGE. THIS CHANGE IN FOCUS LED TO THE RELEASE OF 4 LONG-FORM STORIES ON VARIOUS MEDIA PLATFORMS AND INCLUDED THE PUBLICATION OF A FEATURE STORY, "THE INJUSTICE OF ATLANTIC CITY'S FLOODS," ON THE PBS NEWSHOUR WEBSITE AND THE AIRING OF A SEGMENT ON THE NEWSHOUR PROGRAM. IT ALSO LED TO PUBLICATION OF "BREATHING FIRE" IN PARTNERSHIP WITH KAISER HEALTH NEWS AND KQED, REGARDING IMPACTS OF CALIFORNIA WILDFIRES ON AIR QUALITY. PRIOR TO THE CHANGE IN FOCUS, WHICH OCCURRED IN MID-AUGUST, WE PUBLISHED WELL OVER 200 SHORT-FORM STORIES THAT WERE DISTRIBUTED THROUGH MORE THAN TWO DOZEN MEDIA PARTNERS.
