Mission and Program Overview

Mission

The mission of valley home care, which is part of the valley health system, is to support the integrated delivery of health and wellness programs to populations within our service area. Valley home care will respond to the changing health care needs of our community with flexibility and innovation to undertake those services where we can maintain the highest standards of practice in a fiscally responsive manner.

Valley home care provides an integrated delivery of both home health and wellness programs to its service area of passaic and bergen counties 24 hours a day seven days a week. In 2017, this care included over 250,000 home visits provided by a dedicated and well educated staff including nurses, physical, occupational and speech therapists, home health aides, social workers and specialty clinicians.

Governance Explanations

The sole member of valley home care, inc. (vhc) shall be valley health system, inc. ("the parent").

Form 990, Part VI, Section A, Line 7A

Valley health system, inc. ('the parent") shall have right to approve or reject slate of nominees for the board of trustees.

Form 990, Part VI, Section A, Line 7B

Valley health system, inc. ("the parent"), sole member of vhc, shall have the power to approve an action made by and/or initiate an action relating to any of following: 1) strategic actions, which shall include, but not limited to new strategic plans, modifications of existing strategic plans or mission statements, the addition or relocation of a clinical service or program generating or expected to generate revenues in excess of $2,000,000 in any fiscal year, the development of a management service organization, or the formation or dissolution of vhc; 2) major corporate decisions, which may potentially impact the philosophy of the system, which shall include, but not be limited to, joint ventures, corporate acquisitions, programmatic affiliations, mergers or consolidations, conversion of the tax-exempt status, sale or transfer of substantially all of the assets of any subsidiary or the dissolution of vhc; 3) any single expenditure greater than five percent (5%) of the annual operating budget and any amendments thereto: 4) the selection of auditors; 5) the appointment and removal of the president of vhc (or the approval of any recommendation of the board of the vhc for removal); and 6) major corporate decisions regarding the incurrence of debt in excess of five percent (5%) of the operating budget and the transfer or loan of cash or the conveyance, lease or other disposition of other assets to an affiliate or subsidiary without receiving equivalent value in return. 7)the parent shall also establish an executive compensation committee.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's personnel and reviewed by the outside accountants. The outside accountants then present the 990 to the financial committee for their review and comments. The comments are reviewed and addressed until the return is approved for submission to the members of the board for their comments. After members of the board receive a hard copy of the 990 and approve the return it is finalized and filed with the internal revenue service.

The board mandates that annually all members of management and the governing body sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. If a conflict of interst exists the organization will notify members of management or the governing body and investigate the conflict. If it is determined that an actual conflict of interest exists, the member of management or the governing body involved will be notified immediately and will not be allowed to vote or be part of any decisions about such transactions.

The valley home care inc. Has established a policy for compensation of its officers, top management and key employees. The policy mandates that compensation for its officers, top management and key employees be periodically reviewed by the executive compensation committee of the board of trustees free of any members with conflict of interest related thereto. The committee determines that the executives are being paid an appropriate level of compensation by using comparative data for similarly situated organizations. This process is done annually, last undertaken in 2017. Compensation decision on the amount of compensation paid and term is adequately documented in a contemporaneously written format.

Financial Statement Notes

PART V, LINE 4:

Valley home care's endowment funds are held by the valley hospital foundation. The foundation currently maintains six donor-restricted and two board-designated endowment funds whose purposes are to provide long term support for the programs and service of the valley hospital and/or valley home care.

PART X, LINE 2:

The agency is a tax-exempt organization under existing provisions of the internal revenue code 501(c)(3), and its related income is not subject to federal, state or local income taxes. The agency recognizes the effect of income tax positions only if they are more likely than not to be sustained. Management has determined that the agency had no uncertain tax positions that would require financial statement recognition or disclosure. The agency is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to the 2014 tax year.

THE VAST MAJORITY (65%) OF THESE PATIENTS ARE MEDICARE AND MEDICAID PARTICIPANTS WITH THE BALANCE OF THE PATIENTS BEING COMMERCIAL INSURANCE, SELF PAY OR CHARITY CARE. VALLEY HOME CARE PROVIDES THIS CARE WITH OVER 400 DEDICATED STAFF MEMBERS, INCLUDING NURSES, THERAPISTS, SOCIAL WORKERS, HOME HEALTH AIDES AND VARIOUS SPECIALTY CLINICIANS. VALLEY HOME CARE, INC'S THREE MAIN HOME CARE PROGRAMS ARE THE ADULT HOME CARE PROGRAM, THE MATERNAL CHILD HEALTH PROGRAM AND THE HOSPICE PROGRAM. THE ADULT HOME CARE PROGRAM PROVIDES HOME CARE SERVICES TO THOSE PATIENTS OVER EIGHTEEN YEARS OLD. THE MAJORITY OF THE PATIENTS IN THIS PROGRAM ARE THE ELDERLY WHO ARE MEDICALLY HOME BOUND AND IN NEED OF MEDICAL ASSISTANCE IN THE HOME. IN MANY CASES THESE PATIENTS LIVE ALONE AND VALLEY HOME CARE IS THEIR LIFE LINE TO MEDICAL CARE. THIS CARE IS PROVIDED BY NURSES, THERAPISTS, SOCIAL WORKERS, HOME HEALTH AIDES AND VARIOUS SPECIALTY CLINICIANS. VALLEY HOME CARE HAS INVESTED SIGNIFICANT RESOURCES TO ASSURE THAT OUR CLINICAL STAFF HAS BOTH THE PROPER TRAINING AND TECHNOLOGY NEEDED TO HANDLE THE COMPLICATED IN HOME MEDICAL NEEDS OF OUR PATIENTS.

THE VALLEY HOSPICE ASSISTS OVER 1,100 PATIENTS AND FAMILIES MAKES OVER 78,000 HOME VISITS EACH YEAR. THE VALLEY HOSPICE NOT ONLY PROVIDES COMFORT AND MEDICAL CARE TO ITS PATIENTS WITH HIGHLY TRAINED CLINICAL STAFF, BUT ALSO HELPS THE FAMILY IN COPING WITH THE LOSS OF A LOVED ONE. THIS IS ACCOMPLISHED THROUGH MANY PROGRAMS WHICH ARE AVAILABLE SUCH AS THE BEREAVEMENT PROGRAM, WHICH HELPS THE FAMILY COPE WITH THE SITUATION. ALSO, THE JOURNEYS PROGRAM , WHICH IS AN ART THERAPY PROGRAM TO HELP THE CHILDREN AND SIBLINGS DEAL WITH THE LOSS OF A LOVED ONE.

THE CARE PROVIDED TO THIS GROUP OF PATIENTS RANGE FROM MEDICAL NEEDS OF THE CHILDREN TO THE PARENTAL EDUCATIONAL NEEDS OF THE FAMILY. MANY OF THE YOUNG CHILDREN WHO COME TO VALLEY HOME CARE DO SO WITH SIGNIFICANT MEDICAL NEEDS AND REMAIN VALLEY HOME CARE PATIENTS INTO ADULTHOOD. THE MATERNAL CHILD HEALTH PROGRAM ALSO HAS A PEDIATRIC HOSPICE COMPONENT, THE BUTTERFLIES PROGRAM, WHICH CARES FOR THE TERMINALLY ILL PEDIATRIC PATIENT. THE MATERNAL CHILD HEALTH PROGRAM MAKES OVER 4,000 VISITS ANNUALLY BY VARIOUS VALLEY HOME CARE STAFF MEMBERS.
