“The executive committee shall consist of the chair and three (3) additional board members elected to the executive committee by the board. The board chair shall chair the executive committee. During the intervals between board meetings, the executive committee may exercise all the powers and functions of the board of directors in the management and direction of the affairs of the corporation in matters of urgency which require action between regularly scheduled or special meetings of the board of directors. Three (3) members of the executive committee shall constitute a quorum for the transaction of business and the act of three (3) of them shall constitute the act of the executive committee. All actions of the executive committee shall be reported to the board of directors at its next meeting succeeding such action.”

“The board of directors of mhmh shall consist of ten (10) individuals appointed by the member and may include the member's senior management, physicians, members of the community and such other persons as the member determines appropriate, with no minimum representation of any stakeholder. Each director shall serve for a term of four (4) years.”
“The sole member ("member") of mccullough-hyde memorial hospital ("mhmh") shall have all rights afforded to members of nonprofit corporations under section 1702 of the ohio revised code, as amended. The chief executive officer of trihealth, inc. ("ceo of the member") is the person appointed by the member to oversee the activities and affairs of the corporation, and the ceo of the member may delegate this responsibility to one or more other executives employed by the member. The member shall have the power to transfer assets of the corporation or to require the corporation to transfer assets to the member, to the extent necessary to accomplish the member's goals and objectives, and to provide for the payment of all indebtedness of the member or an entity controlled by, controlling, or under common control with the member (for purposes of this section, a "member affiliate"), issued or incurred by or on behalf of the member or a member affiliate in furtherance of the member's goals and objectives. The corporation shall not be required to violate its charitable purposes, the terms of any restricted gifts, the provisions of the network affiliation agreement, the provisions of the orders, or the covenants of its debt instruments as a result of any asset transfers made or directed by the member. The corporation shall not transfer assets to entities other than the member or member affiliates without the approval of the member, except for transfers previously approved by the member, either individually or as part of the member budget process, and except for transfers to an affiliate or subsidiary of the corporation, but subject in all cases to the provisions of the network affiliation agreement and the orders. To the extent permitted by law and in addition to any authorization, consent, or approval required by any rule or regulation, any matter or transaction of the corporation requiring approval, review and/or recommendation by the member under the network affiliation agreement or the orders must be approved, reviewed or recommended by the member before the corporation may engage or participate in, utilize its income or assets in connection with, or otherwise be associated with such matters or transactions.”

Trihealth has a committee that assumes the responsibility for oversight of the audit of both its and its subsidiaries and affiliates financial statements as well as the selection of the independent auditor. During the tax year, there was not a change in the process of audit oversight and/or selection of an independent auditor by trihealth.”
