Mission and Program Overview

Mission

The mission of valley home care, which is part of the valley health system, is to support the integrated delivery of health and wellness programs to populations within our service area. Valley home care will respond to the changing health care needs of our community with flexibility and innovation to undertake those services where we can maintain the highest standards of practice in a fiscally responsive manner.

Valley home care provides an integrated delivery of both home health and wellness programs to its service area of passaic and bergen counties 24 hours a day seven days a week. In 2020, this care included over 220,000 home visits provided by a dedicated and well educated staff including nurses, physical, occupational and speech therapists, home health aides, social workers and specialty clinicians.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization is included in consolidated bylaws for valley health system, inc., the valley hospital, inc., and valley physician services, inc. In april 2020, the bylaws were amended to include an article for crisis standards of care (csc) and amendments to the bylaws during csc due to a pervasive or catastrophic disaster (i.e. The covid-19 pandemic). The crisis standard of care bylaws provisions include the following during the csc: the permitted number of trustees was amended to be no fewer than nine. The executive committee was allowed to act on behalf of the full board until the board is able to act or otherwise exercise its powers. The board delegates final approval of medical staff privileges to the president & ceo of the hospital. The board empowers management to change policies and procedures as it deems necessary. The executive committee of the medical staff delegates approval of medical staff privilege changes and temporary privileges to the president of the medical staff or designee.

Valley home care has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 is prepared, it is submitted to management and the audit committee for review. Any comments are summarized and provided to the director of finance. Each issue is documented and addressed until the return is finalized and approved by the audit committee for filing with the internal revenue service. Before filing, the form 990 is made available for the board's review, by hard copy and or electronic copy.

The organization's board is a shared board with the valley health system. The valley health system has developed a compensation plan, which governs the compensation for all executives, including the ceo and vice presidents of the organization. The plan was developed in conjunction with a consulting firm, reviewed by the physician leadership council and approved by the board of trustees and the valley health system physician compensation committee. On an annual basis, the plan is reviewed and updated as needed. The compensation is contemporaneously documented and the process was last undertaken in 2020.

PART V, LINE 4:

Valley home care's endowment funds are held by the valley hospital foundation. The foundation currently maintains eight donor-restricted and two board-designated endowment funds whose purposes are to provide long term support for the programs and service of the valley hospital and/or valley home care.

PART X, LINE 2:

Vhc is a tax-exempt organization under existing provisions of the internal revenue code 501(c)(3), and its related income is not subject to federal, state or local income taxes. Vhc recognizes the effect of income tax positions only if they are more likely than not to be sustained. Management has determined that vhc had no uncertain tax positions that would require financial statement recognition or disclosure. Vhc is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to the 2017 tax year.

IRS990/Desc0VALLEY HOME CARE PROVIDES IN HOME MEDICAL CARE TO THE RESIDENTS OF PASSAIC AND BERGEN COUNTY. IN 2020, VALLEY HOME CARE MADE AN ESTIMATED 160,000 HOME VISITS TO OVER 10,500 PATIENTS. THESE PATIENTS WITH A MULTITUDE OF MEDICAL CONDITIONS VARY IN AGE FROM NEW BORN TO THE ELDERLY. THE VAST MAJORITY (75%) OF THESE PATIENTS ARE MEDICARE AND MEDICAID PARTICIPANTS WITH THE BALANCE OF THE PATIENTS BEING COMMERCIAL INSURANCE, SELF PAY OR CHARITY CARE. VALLEY HOME CARE PROVIDES THIS CARE WITH OVER 400 DEDICATED STAFF MEMBERS, INCLUDING NURSES, THERAPISTS, SOCIAL WORKERS, HOME HEALTH AIDES AND VARIOUS SPECIALTY CLINICIANS. VALLEY HOME CARE, INC'S THREE MAIN HOME CARE PROGRAMS ARE THE ADULT HOME CARE PROGRAM, THE MATERNAL CHILD HEALTH PROGRAM AND THE HOSPICE PROGRAM. THE ADULT HOME CARE PROGRAM PROVIDES HOME CARE SERVICES TO THOSE PATIENTS OVER EIGHTEEN YEARS OLD. THE MAJORITY OF THE PATIENTS IN THIS PROGRAM ARE THE ELDERLY WHO ARE MEDICALLY HOME BOUND AND IN NEED OF MEDICAL ASSISTANCE IN THE HOME. IN MANY CASES THESE PATIENTS LIVE ALONE AND VALLEY HOME CARE IS THEIR LIFE LINE TO MEDICAL CARE. THIS CARE IS PROVIDED BY NURSES, THERAPISTS, SOCIAL WORKERS, HOME HEALTH AIDES AND VARIOUS SPECIALTY CLINICIANS. VALLEY HOME CARE HAS INVESTED SIGNIFICANT RESOURCES TO ASSURE THAT OUR CLINICAL STAFF HAS BOTH THE PROPER TRAINING AND TECHNOLOGY NEEDED TO HANDLE THE COMPLICATED IN HOME MEDICAL NEEDS OF OUR PATIENTS.
