Governance Explanations

Part VI, Line 11B

The 990 was reviewed by the CFO and Audit committee members. The members of the Board of Directors receive a copy of the Form 990 for review prior to the return being filed.

Part VI, Line 12C

The Board self-monitors the conflict of interest policy. Any Board members with a conflict of interest recuse themselves from voting on any matters pertaining to the conflict.

Part VI, Line 15A & 15B

The budget and compensation committee reviews and approves the salaries of the CEO, CFO, and the Senior VPs annually. The committee receives salary data from an outside human resources firm to assist in reviewing compensation for the senior staff members. The organization maintains all the necessary documentation to substantiate the compensation arrangments. The budget and compensation committee recommends the CEO's compensation to the executive committee of the Board, who approves the new compensation amount.

Part VI, Line 19

The organization provides governing documents and the conflict of interest policy upon request. The audited statement of financial position and statement of activities are included in the annual report which is available on the organizations website. A hard copy of the audited financial statements can be requested by contacting the center.

Part IX, Line 10

Allocations of indirect costs are now being reported on line 24d on Part IX. Some amounts for payroll expenses are included in the allocation and do not appear on line 10 of part IX.

Financial Statement Notes

Part V, line 4

Temporarily restricted net assests consist of contributions that have been restricted for programs, building, or note payments. Permanently restricted nt assets consist of contributions that have been restricted for endowment for future operations.

Part X, Line 2

The Center applies a more likely than not measurement methodology to reflect the financial statement impact of uncertain tax positions taken or expected to be taken in a tax return. After evaluating the tax positions taken, none are considered to be uncertain; therefore, no amounts have been recognized as of December 31, 2013. If incurred, interest and penalties associated with tax positions are recorded in the period assessed. No interest or penalties have been assessed as of December 31, 2013. Tax years that remain subject to examination include 2010 through the current year for the federal return and 2009 through the current year for the Colorado return.

Part XI, line 2D

Part III, lines 1A & 4

Collection items acquired through purchase or donation are not capitalized inasmuch as the items are preserved and cared for continuously. Purchases of collection items are reported in the year of acquisition as decreases in unrestricted net assets, or in temporarily or permanently restricted net assets if the assets used to purchase the items were restricted to that use by donor stipulation. Contributions of collection items are not reported in the financial statements. Proceeds from disposal of and insurance recoveries related to collection items are reported as increases in the appropriate net asset classes. As of December 31, 2013 and 2012, the majority of collection items have been acquired by donation. Please see Part III, Line 4c program service activity for information on how the collection items further the organization's exempt purpose.

IRS990/Desc0CUSTOMER EXPERIENCE MANAGEMENT (CEM) PROGRAM: The ongoing Cox Chair program, developed in conjunction with The University of Denver, enables students to earn an MBA with a concentration in CEM. The Cox Chair, appointed by DU and the Cable Center since 2006, directs this academic program. Senior Fellow, Dr. Ron Rizzuto and The Cox Chair in CEM, Dr. Charles Patti, worked with senior staff at TCC to offer companies consulting, training and financial analysis around the science of CEM. In 2013, the industry care executives met twice, by invitation, at The Cable Center for a program of sharing best practices, academic learning and benchmarking on key customer performance indicators. Additionally, the Senior team and Fellows attended and participated on panels at NCTA's Cable Show, Cable Congress and CTAM Europe.
