Governance Explanations

Part VI, Section B, Question 12C

Conflict of interest monitoring - as part of the adopted conflict of interest policy and procedures, the museum developed a comprehensive disclosure form. All trustees, officers, and employees are required to file a renewal each year. The museum keeps the signed forms on file at the museum offices.

Part VI, Section B, Question 15A

Executive compensation - pursuant to the museum's bylaws, members of the board of trustees receive no compensation for their services, although they may be reimbursed for out-of-pocket expense reasonably incurred in the performance of their duties. Such reimbursements are subject to the expense reimbursement policy of the museum. As of december 31, 2017, the museum employed an executive director who manages the affairs and business of the museum, subject to general oversight and control of the chair and board of trustees. The executive director serves as a non-voting member of the board, and of all committees of the board. To determine the executive director's compensation, prior to hiring and periodically, the executive committee researches comparable salaries in the museum field and in similarly situated non- profits, gauged by their size, location and similar stature to the shaker museum and library. Regional salaries for museums in the area are checked through the museum association of new york, and/or through contacts at area museums. Qualified candidates must be above average in their level of knowledge and experience, and have proven experience in development and fundraising for non - profits.

Part VI, Section B, Question 11B

Review process of 990 by governing body - the executive director of the museum or a designee distributes a copy of the completed form 990 to the audit and finance committee before a meeting with the lead auditor from the auditing firm. The lead auditor and audit and finance committee review the audited financials and form 990. The audit and finance committee disseminates copies of the 990 and audited financials to the board of trustees. The board of trustees is given a deadline to inquire about any information in the form, which allows time for review and any required corrections before the actual form is filed. In addition, an item is placed on the board of trustees meeting agenda, which allows for follow-up discussion.

Part VI, Section C, Question 19

Public availability of documents - the museum provides copies of any governing documents, its conflict of interest policy and financial statements to any interested party after receiving either a written or a verbal request.

Part VI, Section A, Question 2

Related trustees - stephen williams and warden williams are brothers and are the sons of the founder. Both serve as members of the board of trustees. Gregory hickok, the treasurer and his spouse lauree hickok both serve as members of the board.

Financial Statement Notes

Schedule D Part III 1A

The museum does not capitalize its collections. Costs of collection items purchased are shown as decreases in net assets in the statement of activities. Proceeds from sales of collection items and insurance recoveries of lost or destroyed collection items are presented as increases in net assets. The museum maintains such proceeds in a separate fund, temporarily restricted for the acquisition, preservation, protection, or care of collections.

Schedule D Part III 4

To further the Museum's mission, the museum collects, preserves, and interprets one of the largest and most comprehensive collections of Shaker artifacts in the world, including furniture, domestic items, tools, machinery, finished production items, textiles, architectural items, and so on. The Emma B. King Library includes Shaker manuscripts and imprint materials, photographs, ephemera, and secondary research materials. The Museum encourages and supports the study and research of the collection, as well as its interpretation, through displays organized by the museum and other institutions, published articles, and through loans to other institutions.

Income Taxes

The Organization has evaluated any uncertain tax positions and related income tax contingencies and determined uncertain positions, if any, are not material to the financial statements, according to FASB ASC 740-10. Penalties and interest assessed by income taxing authorities are included in operating expenses, if incurred. The Organization is no longer subject to examination by federal or state taxing authorities for years prior to fiscal years ended December 31, 2014.

IRS990/Desc0HISTORIC SITE PRESERVATION AND CONSERVATION - Since 2009, the museum has undertaken historic preservation projects at Mount Lebanon. In 2014, the museum completed a 2-year project of approximately $2 Million to stabilize the walls of the Great Stone Barn at Mount Lebanon. The barn, gutted by fire in 1972, was the largest stone barn in America when build in 1859. It is a testament to the financial and technological sophistication of the Shakers' agricultural operations, and to their communal stewardship of the land and animals. Funding for the project was assembled over several years, and included federal grants from the Departments of the Interior, Housing and Urban Development, and Transportation: The New York State Office of Parks, Recreation, and Historic Preservation; The World Monuments Fund; and contributions from over 100 private foundations and individuals. The project stabilized the stone walls of the building, with the goal of making the building available for interpretation as part of the museum's operation of the Historic Site. In 2015, the Museum executed a grant contract of $500,000 with the New York State Office of Parks, Recreation, and Historic Preservation to continue preservation of this building. The museum capped the barn walls to prevent further erosion and to ensure long-term stability. In 2016, the museum completed work on a contract to restore elements of the Brick Shop, with funding from the New York State Office of Parks, Recreation, and Historic Preservation and a line of credit with the Preservation League of New York. In 2014, the Museum purchased a 61-acre parcel of Historic Shaker lands adjacent to the Mount Lebanon site. In 2016, the museum completed the funding contract with the Open Space Institute and completed negotiations for a conservation easement with the State of New York. In 2016, the Museum continued to work with other community organizations, including the Shaker Swamp conservancy, Columbia Land Conservancy, Open Space Institute, New York State DEC, Federal Forest Service, and others, to ensure that over 1,000 acres of Historic Shaker lands in and around Mount Lebanon are protected for the future.

IRS990/ProgSrvcAccomActy2Grp/Desc0PROGRAMS AND EXHIBITIONS - IN 2017 THE MUSEUM CONTINUED ITS SEASON PROGRAMMING AT MOUNT LEBANON. VISITORS TO MOUNT LEBANON IN 2017 CAME FROM ACROSS THE UNITED STATES AND FROM OVERSEAS. THE 2017 SEASON RAN FROM MID-JUNE TO MID-OCTOBER FRIDAY THROUGH MONDAY. THE PROGRAM OFFERED VISITORS THREE PRINCIPAL DAILY TOURS, AND THE OPTION OF A SELF-GUIDED TOUR OF THE GROUNDS AND A WALK OF THE NEW NORTH PASTURES TRAIL. SOME VISITORS WERE ABLE TO EXPLORE THE HISTORY OF THE GREAT STONE BARN THROUGH A SPECIAL TOUR AND AN ACCOMPANYING EXHIBIT AND MODEL TO DEMONSTRATE ITS USE. THROUGHOUT THE YEAR, THE MUSEUM OFFERED TALKS AND PROGRAMS ON SHAKER HISTORY. THE MUSEUM OPERATES ON TWO CAMPUSES -THE HISTORIC SITE AT MOUNT LEBANON AND AN ADMINISTRATIVE CAMPUS IN OLD CHATHAM THAT HOUSES COLLECTIONS STORAGE, THE LIBRARY AND ARCHIVES, AND STAFF OFFICES. THE COLLECTIONS ARE ACCESSIBLE THROUGH PRIVATE MEMBER TOURS AND IN EXIBITIONS AT THE HISTORIC SITE. IN 2017 THE MUSEUM MOUNTED AN EXIBITION FUNDED LARGELY BY THE NEW YORK STATE COUNCIL ON THE ARTS "BREAK EVERY YOKE: SHAKERS, GENDER EQUALITY, AND WOMEN'S SUFFRAGE" TO CELEBRATE THE CENTENNIAL OF WOMEN'S SUFFRAGE IN NEW YORK STATE, AS WELL AS TWO INSTALLATIONS, ONE OF SHAKER STOVES AND THE OTHER OF SHAKER TOOLS. IN 2016 THE MUSEUM MOUNTED - "WASH: THERE IS NO DIRT IN HEAVEN," WHICH TOLD THE STORY OF THE DAY-TO-DAY WORK OF SHAKERS AS THEY HANDLED WEEKLY COMMUNAL LAUNDRY. THE EXHIBITION LOOKED AT THE WATERPOWER SYSTEMS THAT RAN THE MECHANICAL EQUIPMENT, AND EXPLORED HOW THE SHAKERS USED THEIR TECHNOLOGY KNOWLEDGE TO CREATE A COMMERCIAL WASHER, MANGLE, AND LAUNDRY SOAP FOR SALE TO THE PUBLIC. THE MUSEUM HAS WORKED WITH OTHER ORGANIZATIONS IN RECENT YEARS TO PROVIDE OBJECT LOANS TO AN EXIBITION AT THE FARNSWORTH MUSEUM IN ROCKLAND, MAINE: "THE SHAKERS: FROM MOUNT LEBANON TO THE WORLD, " THE MUSEUM WAS THE PRIMARY LENDER TO THIS EXHIBITION, PROVIDING OVER 100 ITEMS FROM ITS COLLECTIONS. AN ESTIMATED AUDIENCE OF 60,000 SAW THE EXHIBITION THROUGH ITS RUN THROUGH MARCH 2015, WHICH WAS COVERED BY MAJOR NATIONAL PRESS, INCLUDING THE WALL STREET JOURNAL. THE MUSEUM PARTICIPATED IN THE PLANNING AND PROVIDED CONTENT FOR THE ACCOMPANYING 250 PAGE HARD - COVER BOOK PUBLISHED BY SKIRA RIZZOLI, WHICH INCLUDES ESSAYS BY MUSEUM STAFF AND A MUSEUM TRUSTEE. THE MUSEUM COLLABORATED WITH OTHER AREA SHAKER MUSEUMS ON "THE SHAKERS: AMERICA'S QUIET REVOLUTIONARIES", A MAJOR EXHIBITION PRESENTED AT THE NEW YORK STATE MUSEUM IN ALBANY IN 2014 THROUGH 2016. A MUSEUM STAFF MEMBER SERVED AS THE SENIOR MEMBER OF THE CURATORIAL TEAM. THIS EXHIBITION INCLUDED OVER 70 ITEMS ON LOAN FROM THE SHAKER MUSEUM. STATE MUSEUM ATTENDANCE WAS ESTIMATED TO BE NEARLY 600,000 DURING THE ALBANY EXHIBITION. IN 2016, MUSEUM PROGRAMS EXPLORED THE MANY STORIES THAT THE MOUNT LEBANON BUILDINGS HOLD, AND INTRODUCED A NEW LEARNING SPACE FOR CHILDREN IN THE HISTORIC POULTRY HOUSE. IN 2015, MUSEUM STAFF WORKED ON A COLLABORATIVE PROJECT TO PRESENT THREE SHAKER ROOMS AT THE 2015 EUROPEAN FINE ART FAIR IN MAASTRICHT, THE NETHERLANDS, ALONG WITH AN ACCOMPANYING BOOK. WITH MUSEUM STAFF PROVIDED THE CONTENT FOR THE BOOK PUBLISHED BY ASSOULINE PUBLISHING. THIS EXHIBITION WAS DESIGNED TO PRESENT SHAKER HISTORY TO A NEW EUROPEAN AUDIENCE.

IRS990/ProgSrvcAccomActy3Grp/Desc0COLLECTIONS CARE - IN 2015 THE MUSEUM STARTED A MAJOR EFFORT TO ASSESS AND IMPROVE AS NEEDED THE CARE OF ITS OBJECT COLLECTION. THE MUSEUM CONTINUES TO WORK TO MAKE ITS COLLECTIONS AND INFORMATION AVAILABLE THROUGH ELECTRONIC MEDIA. THE GLADYS KNIEBLE DELMAS FOUNDATION AND THE TIANADERRAH FOUNDATION FUNDED A DIGITIZATION PROJECT OF MOUNT LEBANON MANUSCRIPTS. THE MUSEUM'S EXTENSIVE COLLECTION AND ARCHIVE OF SHAKER MANUSCRIPTS, IMPRINTS, PHOTOGRAPHS, EPHEMERA, AND SECONDARY RESEARCH MATERIALS CONTINUED TO ATTRACT RESEARCHERS FROM THE UNITED STATES AND ABROAD.
