“SLA utilizes the services of a management firm, MCI USA to manage the organization on a day-to-day basis. Management fees represent amounts paid to MCI USA under the terms of an agreement for management services including all staff resources; delivery of SLA's programs, services, events, and website; provides for office space, equipment, and other resources needed to manage the day-to-day operations. Management fees totaled $1,327,009 for the year ended December 31, 2019. SLA's Executive Director is an employee of and was compensated by MCI USA.”

“The Board of Directors annually reviews the conflict of interest policy at its orientation meeting and discloses any potential conflict of interest. All members of the Board of Directors sign a conflict of interest disclosure statement and code of responsibility annually. The signed documents are reviewed by the directors, executive office relations, and kept on file by SLA. The conflict of interest policy is always taken into consideration when there is the potential for conflict, particularly when signing new contracts or beginning new relationships. Any possible appearance of conflict of interest that arises in the course of business is researched to determine the existence of a conflict. If a contract is to be made with a related party, it is disclosed to the Board of Directors and a vote is taken to reach a decision. If the Association's staff members identify a conflict of interest, management shares this information with the Executive Committee of the board for its action. Involved board members are precluded from voting on matters for which a conflict exists.”
