The association has one class of members.

Election of officers and directors shall be by secret ballot sent to each voting member.

Form 990, Part VI, Section A, Line 7B

Each voting member shall have one (1) vote on all matters submitted to a vote of the voting members.

Form 990, Part VI, Section B, Line 11

The federal form 990 is prepared by the association's cfo and accounting team. It is then reviewed by the ceo and then shared with the board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The board of directors annually reviews the conflict of interest policy at its orientation meeting and discloses any potential conflict of interest. All board of directors sign a conflict of interest disclosure statement and code of responsibility annually. The signed documents are reviewed by the director, executive office relations and kept by the ceo. The coi policy is always taken into consideration when there is the potential for conflict, particularly when signing new contracts or beginning new relationships. Any possible appearance of conflict of interest that arises in the course of business is researched to determine the existence of a conflict. If a contract is to be made with a related party, it is disclosed to the board of directors and a vote is taken to reach a decision. If the association's staff members identify a conflict of interest, the ceo or cfo shares this information with the executive committee of the board for its action. Involved board members are precluded from voting on matters for which a conflict exists.

Form 990, Part VI, Section B, Line 15A

Key employees are evaluated yearly. The process includes the completion by the supervisor of a performance appraisal instrument, a self appraisal, and comments gathered from employees. The ceo is evaluated by the executive committee of the board of directors, lead by the current year president. An evaluation form is completed, a self appraisal, the capacity building model developed by mckinsey & company is completed, and comments gathered from all board members and key staff. Compensation is determined using comparability data from the washington, dc metro area, the asae compensation study of similar positions, and any other available compensation reports that are current. Key employee's compensation is determined by the ceo; the ceo's compensation is determined by the president with input from the board of directors.

The federal form 990, all governing documents, conflict of interest policies, financial statements, and all policy and practice documents are available upon request. The conflict of interest policy is available on the association's website. All board of director agenda and minutes are posted on the website in the governance section of the website.

Financial Statement Notes

PART V, LINE 4:

Scholarship awards at accredited library schools. The david r. Bender fund was established to support the association's international activities and fellowships. The ron coplen fund serves as a source of revenue for the ron coplen leadership address at the annual conference or other appropriatemeeting. Earnings on these funds are considered temporarily restricted

PART X, LINE 2:

The association is exempt from federal income taxes under section 501(c)(3) of the irc. However, income from certain activities not directly related to the association's tax-exempt purpose is subject to taxation as unrelated business income. The association generates unrelated business income principally from advertising in its publications and job postings on its website. There was no provision for income taxes as of december 31, 2014 as the association had no significant net unrelated business income. The association reviews and assesses all activities annually to identify any changes in the scope of the activities and revenue sources and the tax treatment thereof to identify any uncertain tax positions requiring recognition or disclosure in these financial statements. Tax years reasonably considered open and subject to examination include returns for the years ended december 31, 2011 through 2013.
