Election of officers and directors shall be by secret ballot sent to each voting member.

Each voting member shall have one (1) vote on all matters submitted to a vote of the voting members.

Form 990, Part VI, Section B, line 11

The Federal Form 990 is reviewed by management and then shared with the Board of Directors prior to filing with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

The Board of Directors annually reviews the conflict of interest policy at its orientation meeting and discloses any potential conflict of interest. All members of the Board of Directors sign a conflict of interest disclosure statement and code of responsibility annually. The signed documents are reviewed by the directors, executive office relations, and kept on file by SLA. The conflict of interest policy is always taken into consideration when there is the potential for conflict, particularly when signing new contracts or beginning new relationships. Any possible appearance of conflict of interest that arises in the course of business is researched to determine the existence of a conflict. If a contract is to be made with a related party, it is disclosed to the Board of Directors and a vote is taken to reach a decision. If the Association's staff members identify a conflict of interest, management shares this information with the Executive Committee of the board for its action. Involved board members are precluded from voting on matters for which a conflict exists.

Form 990, Part VI, Section B, line 15A

Key employees are evaluated yearly. The process includes the completion by the supervisor of a performance appraisal instrument, a self-appraisal, and comments gathered from employees. Top management positions are evaluated by the Executive Committee of the Board of Directors, led by the current year President. An evaluation form is completed, a self-appraisal, the capacity building model developed by McKinsey & Company is completed, and comments gathered from all board members and key staff. Compensation is determined using comparability data from the Washington, DC metro area, the ASAE compensation stufy of similiar positions, and any other available compensation reports that are current.

Form 990, Part III, Organization Mission:

The Special Libraries Association, Inc. (The Association) is a nonprofit global organization for innovative information and knowledge professionals and their strategic partners. The Association serves over 8,000 members in 75 countries in the information profession including corporate, academic, and government information specialists. The Association promotes and strengthens its members through learning, advocacy, and networking initiatives. The Association is organized into 55 geographic chapters, 26 specialty divisions and 11 general interest caucuses (collectively, units). Members may join any combination of units. While not separate, independent entities, units seek to further the mission of the Association in the context of common interest and cooperation.

Form 990, Part III, Line 4B, Membership (continued)

Professional Development: The primary vehicle through which professional development is accessed by members is SLA's online learning portal, Continuous Learning to Improve Career Knowledge (or, as we like to call it, CLICK University) CLICK University provides an excellent source of professional development opportunities including continuing education programs, webinars and leadership training. Mini or Regional Conferences offer members another face-to-face opportunity to dig deeper into a special interest, subject area, or regional matter and to do so with a selection of industry partners. Publications: Information Outlook is the Association's bimonthly online magazine. Information Outlook contains: Articles on timely topics such as data curation, digital asset management, bibliometrics, and value co-creation; Columns about technology, copyright law, and other issues of perpetual interest; and News items about developments within the information profession and SLA. A popular feature is the SLA Member Interview, which offers a close-up look at information professionals in different disciplines, work environments, and countries. Career Services: SLA's Career Center provides access to job opportunities and career resources and publications.

Form 990, Part XII, Line 2C:

The Association's Executive Committee assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. The process is consistent with previous years.

Part V, Line 4:

The intended used of endowment funds is to fund scholarship awards at accredited library schools. The David B. Bender Fund was established to support the Association's international activities and fellowships. The Ron Coplen Fund serves as a source of revenue for the Ron Coplen Leadership Address at the annual conference or other appropriate meeting. Earnings on these funds are considered temporarily restricted.

Part X, Line 2:

The Association reviews and assesses all activities annually to identify any changes in the scope of the activities and revenue sources and the tax treatment thereof to identify any uncertain tax positions. For the year ended December 31, 2015, management did not identify any uncertain tax positions requiring recognition or disclosure in these financial statements.

The 2015 Leadership Summit was held in Baltimore, MD January 21-23, 2015 with over 200 volunteer leaders from the Association. The board of directors also attends and holds its first meeting of the year. The 2015 Leadership Development Institute was held in Boston MA in conjunction with the Annual Conference. It is a 90-minute training and Professional Development opportunity for the leaders of the chapters, divisions and caucuses followed by 2-3 hours of unit governance meetings.
