Governance Explanations

FORM 990, PART VI, SECTION B, LINE 11B:

Form 990 was prepared by a nationally renowned accounting firm in conjunction with the organization's financial department. Draft form 990 was reviewed by the organization's ceo, director of finance and then provided to all members of the board of directors in draft via electronic mail, with an opportunity for them to comment or make inquiry before it was filed with the internal revenue service.

FORM 990, PART VI, SECTION B, LINE 12C:

Board of directors sign conflict of interest policy forms at the start of their term, and annually thereafter. The Board's conflict of interest policy form contains all the requirements of the New York Non-Profit Revitalization Act of 2013: (i) a definition of the circumstances that constitute a conflict-of-interest; (ii) set out procedures for disclosing conflicts-of-interest to the audit committee, or if there is none, to the board; (iii) require that a person with a conflict not be present at or participate in the board or committee deliberation or vote on the matter giving rise to such conflict; (iv) prohibit any attempt by a person with a conflict to improperly influence the deliberation or voting on the matter giving rise to such conflict; (v) require that the existence and resolution of the conflict be documented in the corporation's records, including meeting minutes; and (vi) contain procedures for disclosing, addressing, and documenting related party transactions. All staff, including "key staff," are requested to sign annual conflict of interest forms as well. The compliance department tracks all conflict of interest forms in the training database.

FORM 990, PART VI, SECTION B, LINES 15A AND 15B:

The compensation committee is responsible for overseeing the evaluation process for the chief executive officer and chief business officer. The following steps are utilized to carry out this review: a) the compensation committee reviews performance measures and targets on or before the start of the first meeting of the fiscal year. B) the chief executive officer and chief business officer provides self-evaluations to the compensation committee chair within seventy-five days of the end of the fiscal year. C) the compensation committee accumulates this information and considers annual compensation of the chief executive officer and chief business officer based on the evaluation. Compensation is considered based upon current salary data and ranges provided by outside consultants. D) after agreement by the compensation committee to the evaluation if any adjustment is indicated, it is considered and approved by the entire board prior to implementation. The chair of the compensation committee will meet with the chief executive officer and chief business officer to discuss the committee's assessment of performance and developmental needs for the chief executive officer and chief business officer. The chief executive officer and chief business officer may then take the opportunity to discuss their reactions to the evaluation.

Additional Explanations

FORM 990, PART III, LINE 4D:

1) the health center at jawonio (hcj) provides services through a variety of specialized clinics attended by compassionate, caring and professional clinicians. Innovative and unique specialty services for the most vulnerable and fragile populations in our communities include: primary care, psychiatry, psychology, dental services; audiology and hearing aid clinic; women's health and gynecological screening services; and podiatry. Community health care services also include: psychiatry, psychology and social work, along with physical, occupational and speech-language therapies and evaluations. A variety of insurances are accepted and appointments are scheduled through the dedicated staff of hcj. 2) behavioral health - the jawonio promise program (or "pros"-personalized oriented recovery services) is a service provided in a "college-like" atmosphere, and developed around innovative therapeutic and clinical strategies. Psychiatry, psychology, medication management and social work are offered as part of the program developed by program participants themselves and professional clinicians and staff. At the same time, friendships are formed, self-confidence is instilled, stabilization becomes a goal, with the aspiration of becoming a functioning member of the community. Innovation such as talent shows, art and music therapy, meditation and wellness-based strategies are utilized. Behavioral health services and primary care services are becoming closely integrated to treat the "whole person" along with case management supports and resources.

PART X, LINE 2:

Under GAAP, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more likely than not that the position will be sustained upon examination by a taxing authority. Jawonio, Inc. does not believe it has taken any material uncertain tax positions and, accordingly, it has not recorded any liability for unrecognized tax benefits. The organization has filed for and received income tax exemptions in the jurisdictions where it is required to do so. Additionally, The organization has filed Internal Revenue Service Form 990 information returns, as required, and all other applicable returns in jurisdictions where so required. For the year ended December 31, 2016, there were no interest or penalties recorded or included in the combining statement of activities. The organization is subject to routine audits by taxing authorities. As of December 31, 2016, the organization was not subject to any examination by a taxing authority.

THE FOCUS OF COMMUNITY LIVING SERVICES (RESIDENTIAL) IS TO ASSIST THE PERSONS SERVED IN ACHIEVING THEIR HIGHEST LEVEL OF INDEPENDENCE AND SELF-DIRECTION. JAWONIO'S COMMUNITY LIVING SERVICES PROVIDES SERVICES IN DIVERSE SETTINGS THAT ARE DESIGNED TO MEET THE NEEDS OF THE RESIDENTS. INTERMEDIATE CARE FACILITIES (1) THIS HOME PROVIDES COMPREHENSIVE MEDICAL & HABILITATIVE SUPPORTS IN A TWENTY-FOUR HOUR SUPERVISED SETTING FOR 20 INDIVIDUALS. THE PROGRAM IS DESIGNED TO ASSIST PERSONS WITH SEVERE INTELLECTUAL DISABILITIES AND/OR SEVERE MEDICAL FRAILTIES TO BECOME AS INDEPENDENT AS POSSIBLE. COMPREHENSIVE ON-SITE MEDICAL SUPERVISION IS PROVIDED. INDIVIDUALIZED RESIDENTIAL ALTERNATIVES (12) - JAWONIO PROVIDE HOMES IN THE COMMUNITY SPECIFICALLY DESIGNED AND FURNISHED TO MEET THE NEEDS OF THE DEVELOPMENTALLY DISABLED ADULT. THESE PROGRAMS DIFFER FROM THE ICF RESIDENCES IN THAT THE INDIVIDUALS REQUIRE LESS MEDICAL OVERSIGHT AND CARE, AND FOR THE MOST PART ARE ABLE TO GO INTO THE COMMUNITY FOR DAY AND RECREATION PROGRAMS. TWENTY-FOUR HOUR SUPERVISION AND ASSISTANCE IS PROVIDED. THE CONDOMINIUM PROGRAM (6) - SERVICES DEVELOPED SPECIFIC TO INDIVIDUALS' NEEDS ARE PROVIDED IN ONE AND TWO BEDROOM CONDOMINIUMS IN THE COMMUNITY. LOW COST HOUSING IS PROVIDED THROUGH THE OFFICE OF HOUSING AND URBAN DEVELOPMENT FOR SIX CONDOMINIUMS. THE PAUL J. TENDLER INDEPENDENT LIVING CENTER (17) - THIS GARDEN APARTMENT COMPLEX PROVIDES SERVICE AND LOW COST HOUSING TO 17 PEOPLE. ALL BUT ONE APARTMENT ARE SINGLE OCCUPANCY, PROVIDING DIGNITY AND PRIVACY TO EACH INDIVIDUAL. IN 2014, INDIVIDUALS REPORTED AN 88% SATISFACTION RATE FOR ALL RESIDENTIAL SERVICES, NOTING THE ESPECIALLY HIGH LEVEL OF COMMUNICATION BETWEEN THE PROGRAMS AND THE CONSUMERS, FAMILIES AND ADVOCATES; THE OUTSTANDING CARE PROVIDED BY OUR DIRECT SUPPORT PROFESSIONALS AND THE HIGH QUALITY OF LIFE PROVIDED ON A DAY TO DAY BASIS NOT ONLY IN MEETING THE INDIVIDUALS' UNIQUE CARE NEEDS BUT ALSO THE CHOICES OF COMMUNITY AND RECREATIONAL OPPORTUNITIES MADE AVAILABLE TO THEM BASED ON EACH PERSON'S INDIVIDUAL PREFERENCES AND INTERESTS. MEDICAID SERVICE COORDINATION SERVICES ARE PROVIDED BY SERVICE COORDINATORS WHO OVERSEE ALL SERVICES PROVIDED FOR CHILDREN AND ADULTS WHO HAVE A DEVELOPMENTAL DISABILITY; HAVE OR ARE ELIGIBLE FOR MEDICAID; RESIDE EITHER INDEPENDENTLY OR WITH THEIR FAMILY; OR IN A FAMILY CARE OR GROUP HOME. SERVICES AND REFERRALS INCLUDE: RESIDENTIAL PLACEMENT, IN-HOME OR OUT-OF-HOME DAY OR OVERNIGHT RESPITE, MEDICAL AND RECREATIONAL SERVICES, EDUCATIONAL SUPPORTS, VOCATIONAL SERVICES, PSYCHOLOGICAL SERVICES, ENVIRONMENTAL AND ADAPTIVE EQUIPMENT NEEDS AND IN-HOME ASSISTANCE TO TEACH AND REINFORCE AN INDIVIDUAL'S ACADEMIC OR OTHER THERAPEUTIC NEEDS.
