Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is first reviewed by the finance committee of the board. Subsequent to their review, the 990 is distributed to the full board for further review, comments, and approval prior to filing.

Form 990, Part VI, Section B, Line 12C

All employees and board members are required to complete and sign a conflict and interest disclosure form annually. Any conflicts of interest are reviewed before the board of directors.

Form 990, Part VI, Section B, Line 15

The process for determining the compensation for managing directors includes deliberation within the organization's executive committee, which is composed of four board members. Salary surveys and other research data are used as part of the deliberation process. Once agreement is reached in the compensation committee, there is further deliberation at the annual board meeting where the entire board weighs in and formally votes on the recommendation of the executive committee.

Form 990, Part VI, Section C, Line 19

The organization makes governing documents and financial statements available to the public through the massachusetts department of charities website. Other documents are available upon request
