The form 990 is then distributed to the president and the board of directors for their review. The members of the board of directors are encouraged to review and forward their questions to the controller and cfo/coo. Questions raised by the board are addressed by either the controller or cfo/coo.”

The deliberation and decision regarding any transaction with a potential conflict of interest is documented in the minutes of the board and/or committee meeting.”
