There is an executive committee, consisting of the board chair, vice chair and treasurer. It only serves as the audit committee, which holds one meeting per year to hear the report from the auditors. They then make a recommendation to the full board to accept or not accept the audit.

The director of finance will review the 990 form before it is filed with the irs. An electronic copy will go to the executive committee before it is filed.

The board is required to disclose conflicts of interest when they arise.

The staff makes a recommendation to the board of salary ranges for all employee categories, except executive director. The board approves salary ranges for all employee categories, except executive director. Merit raises are approved by the executive director and managing director within those established salary ranges. The board reviews the executive director annually and approves any salary increases of the executive director. Staff compare salary ranges with the survey results of the northern california nonprofit organization participants and consider salary increases comparable to the the november consumer price index for all clerical workers in the western u.s. This process last occurred in 2018.
