“The by-laws of the san francisco opera association were amended on april 10, 2020, to include the following changes: section 4.01 - gives any officer authority to sign any duly adopted resolution in the event the secretary is unavailable.”
“As part of the opera's internal review process, the filing version of the form 990 is presented to the opera's audit committee for discussion and comment. Prior to filing, the public disclosure version of form 990 is sent to all board of directors for their review. Any comments are reviewed by management. But for the redacted contributor names and addresses, the answer to question 11a would be, "yes."”
“The opera has a written conflict of interest policy. All officers, directors and key employees must comply with the policy and are sent the conflict of interest policy annually. Any reported conflicts are reviewed and resolved promptly.”
“The opera has a written compensation policy. There is an annual review of compensation for officers and key employees by the compensation committee. The committee is composed entirely of independent individuals and comparable data is used to evaluate the appropriateness of the compensation.”
“The conflict of interest policy, code of conduct, and three years of audited financial statements are available on the san francisco opera website (www.sfopera.com). A copy of the 990 is available by request or on the guidestar website (www.guidestar.org).”
“Volunteers: volunteers include 307 ushers, 247 guild volunteers, 13 archive volunteers, 11 artistic department volunteers, and 44 lightwalkers.”
“Donated property -expensed over useful life -115,736.”
“Audit committee role - the audit committee is responsible for the oversight of the financial statement audit and selection and recommendation to the board to the independent accounting firm. The committee held three meetings with board members, officers of the opera, and independent auditors.”
“The endowment is comprised of several funds set aside for donor directed purposes including operations, opera house maintenance, wattis tickets fund, new productions, student subscriptions, principal artists, education, and other programs.”
“The association is a not-for-profit organization pursuant to internal revenue code section 501(c)(3) and the california equivalent legislation and, accordingly, is exempt from federal and state income taxes on income related to its tax exempt purposes. Accounting guidance for accounting for uncertainties in income taxes prescribes the minimum recognition threshold a tax position is required to meet before being recognized in the financial statements. It also provides guidance on the recognition of income tax assets and liabilities, classification of current and deferred income tax assets and liabilities, accounting for interest and penalties associated with tax positions, accounting for income taxes in interim periods, and income tax disclosures. This standard also requires additional disclosure of the beginning and ending unrecognized tax benefits and details regarding the uncertainties that may cause the unrecognized benefits to increase or decrease within a twelve month period. The association's policy for evaluating uncertain tax positions is a two-step process. The first step is to evaluate the tax position for recognition by determining if the weight of available evidence indicates that it is more-likely-than-not that the position will be sustained upon audit, including resolution of related appeals or litigations processes, if any. The second step is to measure the tax benefit or liability as the largest amount that is more than 50% likely to be realized or incurred upon settlement. Based on an analysis prepared by the association, it was determined that the association believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements.”
