Mission

Since 1965, northwest center has been a leader in promoting the rights and independence of individuals with developmental disabilities. Northwest center supports the creation of a world filled with opportunity for people of all abilities. To accomplish this, northwest center uses an integrative model to promote the growth, development and independence of people with developmental disabilities through programs of education, rehabilitation and work opportunity. This mission may be accomplished through direct services for children and adults or operation of inclusive social enterprises. Northwest center delivers an array of services to support children and adults. Northwest center operates and may acquire, divest, or expand a variety of inclusive social enterprises.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership in the corporation shall be open to the following persons interested in the accomplishments of the purposes of the corporation as set forth in the articles of incorporation. Members shall be determined as follows: (a) a current client of the corporation who is over the age of 18 and/or the parent, guardian or legally responsible individual for any client, regardless of age, provided that no client shall be represented by more than two members at any meeting of the membership where business is transacted. This is the first category of member and shall be considered the designation for all individuals who qualify. (b) current members of the corporation's board of directors, if they do not qualify as a member under subsection (a) above. (c) past members of the corporation's board of directors who have served as a board member at least two years, if they do not qualify as a member under subsection (a) or (b) above.

All members shall have the right to attend board, regular, special, or annual meetings of the corporation and to vote on all items brought before the membership. Whenever a vote of the members is to be taken, members may be allowed to vote in person, by mail, or by electronic transmission. Members voting by mail or electronic transmission will be deemed present for all purposes of quorum, count of votes, and percentages of total voting counted.

Annually, each board member must complete a new conflict of interest questionaire which is reviewed by the finance committee. All new board members are asked to complete the questionaire before attending their first board meeting. Members must avoid any relationship or activity that might impair, or even appear to impair, our ability to make objective and fair decisions when performing our jobs. At times, members may be faced with situations where the business actions they take on behalf of northwest center may conflict with their own personal or family interests, because of the course of action that is best for the organization personally may not also be the best course of action for northwest center. Members owe a duty to northwest center to advance its legitimate interests when the opportunity to do so arises. Members must never use northwest center property or information for personal gain or personally take for ourselves any opportunity that is discovered through the position with northwest center.

Annually, the organization used payscale external compensation system that surveys local non-profit associations and organizations to provide guidance for determining the president and ceo's compensation. The board reviewed the compensation policy at the end of 2013.

PART X, LINE 2:

Nwc follows authoritative guidance relating to accounting for uncertain tax positions, which has no consolidated financial statement impact to nwc. Nwc recognizes the tax benefit from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. Nwc recognizes interest and penalties related to income tax matters in income tax expense. As of december 31, 2014 and 2013, nwc had no uncertain tax positions requiring accrual. Nwc files an exempt organization and unrelated business income tax return with the internal revenue service and is not subject to examination for years before 2011.
