The form 990 and schedule b are reviewed by the organization's chief financial officer, chief executive officer, and the full board before filing with the irs.

Form 990, Part VI, Section B, Line 12C

Annually each board member must complete a new conflict of interest questionnaire which is reviewed by the finance committee. All new board members are asked to complete the questionnaire before attending their first board meeting. Members must avoid any relationship or activity that might impair or appear to impair their ability to make objective and fair decisions when performing their duties. At times members may be faced with situations where the business actions they take on behalf of northwest center may conflict with their own personal or family interests. The course of action that is best for the organization may not be in the best course of action for the individual. However, members owe a duty to northwest center and must advance its legitimate interests despite any potential conflicts when the opportunity to do so arises. Members must never use northwest center property or information for personal gain or personally take for themselves any opportunity that is discovered through their position with northwest center.

Annually, the organization used the payscale eternal compensation system that surveys local non-profit associations and organizations to provide guidance for determining the president and ceo's compensation. In 2024, the board established a compensation committee, which will review not only the ceos' compensation, but also top management's compensation.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service has recognized northwest center and northwest center services as exempt from federal income taxes under provisions of section 501(c)(3) of the internal revenue code (irc) except to the extent of unrelated business taxable income as defined under irc section 511 through 515. Unrelated business income tax, if any, for the years ended december 31, 2024 and 2023, was immaterial. Nwc has a net operating loss of approximately $3,000,000 to offset future net unrelated business income. The carryforwards expire in approximately 5 to 15 years. The tax asset representing the value of the net operating loss carryforwards has been offset by a full valuation allowance as of december 31, 2024, because it is uncertain whether nwc's deferred tax assets will become available to offset future tax liabilities. Nwc follows authoritative guidance relating to accounting for uncertain tax positions, which has no consolidated financial statement impact to nwc. Nwc recognizes the tax benefit from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. Nwc recognizes interest and penalties related to income tax matters in income tax expense. As of december 31, 2024 and 2023, nwc had no uncertain tax positions requiring accrual. Nwc and nwc file an exempt organization income tax return with the irs.
