C) after exercising due diligence the board or committee shall determine whether each can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. D0 if a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in each's best interest and for its own benefit and whether the transaction is fair and reasonable to each and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. 4) violations of the conflict of interest policy - a) if the board or committee has reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose b) if, after hearing the response”

| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 0 | EACH, INC. (THE ORGANIZATION) WORKS THROUGH PARTNERS AND AN INDIGENOUS STAFF TEAM TO IDENTIFY AND PROVIDE SUPPORT TO VETTED PERSECUTED POPULATIONS. DURING THE FISCAL YEAR, THE ORGANIZATION DIRECTLY HELPED OVER 3,712 VETTED BENEFICIARIES, STARTING WITH THOSE THAT NEEDED IMMEDIATE HELP TO GET OUT OF DANGER - INCLUDING TRANSPORT, A PLACE IN A SAFE HOUSE OR LEGAL COUNSEL. BEYOND THESE EMERGENCY NEEDS, DIRECT SUPPORT TO PERSECUTED BENEFICIARIES WAS PROVIDED IN VARIOUS FORMS, INCLUDING ESSENTIAL LIVING EXPENSES, NEEDED MEDICINES, TRAUMA COUNSELING, ACCESS TO SCHOOL (ENABLING DISPLACED CHILDREN TO COMPLETE THEIR EDUCATION), AND ASSISTING PERSECUTED INDIVIDUALS IN FINDING NEW JOBS AND STARTING NEW BUSINESSES TO FOSTER INDEPENDENCE. ADDITIONALLY, THE ORGANIZATION CONTINUED TO SUPPORT THE SANAD CENTER IN QARAQOSH, NORTHERN IRAQ, WHICH HAD BEEN DEVASTATED BY ISIS WHO DESTROYED HOMES, BUSINESSES, AND INFRASTRUCTURE. THE WORK OF THE SANAD CENTER HAS BEEN WIDELY RECOGNIZED BY THE LOCAL COMMUNITY FOR ITS OUTSTANDING CONTRIBUTION, AS THE LOCAL MAYOR COMMENTED "YOU HAVE ACTUALLY TOUCHED THE REALITY OF THE PEOPLE AND THEIR NEEDS OF FOOD OR PRESCHOOL, ENGLISH AND COMPUTER COURSES THAT THE QARAQOSH REGION LACKS. AS A GOVERNMENT REPRESENTATIVE IN THE QARAQOSH REGION, WE WILL ALWAYS BE SUPPORTIVE OF YOU AND THE WORK OF THE ORGANIZATION." |
