Governance Explanations

Form 990, Page 6, Part VI, Line 11B

Form 990 is presented to all board members at a monthly board meeting

Form 990, Page 6, Part VI, Line 15A

The executive director of downtown aurora visual arts (the "nonprofit") is the principal representative of dava, and the person responsible for the efficient operation of the nonprofit. Therefore, it is the desire of the nonprofit to provide a fair yet reasonable and not excessive compensation for the executive director (and any other highly compensated employees and consultants). The annual process for determining compensation is as follows: the nonprofit executive committee shall annually evaluate the executive director on his/her performance, and ask for his/her input on matters of performance and compensation. Board approval. The executive committee will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the executive director (and other highly compensated employees or consultants) based on a review of comparability data. For example, the executive committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following: 1.salary and benefit compensation studies by independent sources; 2.written job offers for positions at similar organizations; 3.documented telephone calls about similar positions at both nonprofit and for-profit organizations; and 4.information obtained from the irs form 990 filings of similar organizations. Concurrent documentation. To approve the compensation for the executive director (and other highly compensated employees and consultants) the board must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include: a) a description of the compensation and benefits and the date it was approved; b) the members of the board who were present during the discussion about compensation and benefits, and the results of the vote; c)a description of the comparability data relied upon and how the data was obtained; and d)any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits.

Davas traveling art school (tas) seeks to extend arts learning to a wide population of residents, especially those with little or no access to the arts. Davas traveling program brings quality art experiences to local schools and community organizations, complete with art supplies and professionally trained art teachers. Pasch is a fee-based program with the unique capability to tailor projects to meet the interests, needs, and ages of any group. The family arts program reinforces the message that families are an integral part of community cultural development, assuring that kids of all ages have access to quality arts activities. Family arts is a free on-site program that can be attended on a drop-in basis.children (ages 3 to 6) and their parents attend twice weekly for this program designed to increase pre-literacy, creative, and motor skills in a neighborhood where most young children do not have access to preschool. Our program is designed to increase families understanding of school-readiness skills, including listening, reading, writing, colors, and numbers. The creative action by teens:an after school program designed for high school students to express their voice and ideas while creating art, podcasts, graphic design, and more.
