Inclusa, inc. Provides medicaid managed long-term care services and support to 15,500 elders and people with physical and intellectual/developmental disabilities across 51 wisconsin counties.

Inclusa foundation's mission is to enhance the health of wisconsinites by building diverse and inclusive communities where all people live more connected lives through innovation, programs, and partnerships that impact overall health and well being.

Governance Explanations

Form 990, Part VI, Section A, Line 4

"inclusa foundation approved amended and restated bylaws of inclusa foundation, inc. (these "bylaws") were adopted and are effective as of august 28, 2024 (the "effective date"). These bylaws shall completely replace and supersede any bylaws or amendments thereto adopted prior to the effective date. Section 4.05. Treasurer notes how auditors are selected. The treasurer shall be responsible for overseeing the financial management and reporting of the corporation, with operational and management tasks carried out by staff or contracted professionals. The treasurer's responsibilities include: (a) ensuring that staff maintain accurate accounts of all funds received and disbursed by the corporation; (b)that staff present financial reports to the board of directors; (c) that staff prepare and present to the board of directors an annual operating budget for approval; (d) that staff comply with federal, state, and local financial reporting requirements; (e) that staff prepare and file all tax returns and other financial reports as required by law; and (f) that an independent auditor is appointed by the board of directors to work with staff to conduct an annual audit and that staff implement any recommendations by the auditor. With staff, the treasurer also oversees the management of the corporation's investment portfolio, in accordance with the investment policy established by the board of directors. The treasurer shall perform such other duties as from time to time may be assigned by the board of directors or the president."

The 990 is reviewed by the executive director. A copy of the 990 is provided to the governing body after it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The board of directors shall adopt and always maintain a written conflict of interest policy ("the policy") that is consistent with best practices for charitable organizations. All directors, officers, and committee members shall sign, as a condition to serving the corporation in his or her respective role, a statement agreeing to be bound by the terms of the policy. Pursuant to the policy, any director, officer, or committee member having a material financial interest in a contract or other transaction presented to the board of directors or a committee thereof for authorization, approval, or ratification shall make a prompt, full and frank disclosure of such person's interest to the board of directors or committee prior to its acting on such contract or transaction. If the conflict is confirmed by the board of directors, the officer or committee member is not allowed to participate in the discussion or vote on the matter. Each director of the board must annually sign a statement which affirms such person: (a) has received a copy of the conflict of interest policy (b) has read and understands the policy (c) has agreed to comply with the policy and, (d) understands the corporation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Form 990, Part VI, Section B, Line 15

Initial officer compensation was established using the support of a contracted expert in executive compensation. The contracted expert developed salary range information for the organization's executives and provided compensation recommendations to the inclusa, inc. Board of directors. The board of directors set the chief executive officer's salary based on this recommendation. The chief executive officer was charged with setting the compensation for the remaining executives, using the recommendations provided by the contracted expert. In successive years, the inclusa board of directors has set chief executive officer annual compensation using industry comparisons and other market information to augment their decision process. The chief executive officer uses similar industry and market information to make any annual changes to the remaining executive staff members.

Financial Statement Notes

PART V, LINE 4:

The foundation's endowment funds consists of board-designated funds established to support the long-term financial sustainability of the foundation and advance its mission. The fund is board designated, not donor restricted, and is comprised of the founding funds received from the asset purchase agreement with humana, inc., completed june 1, 2023. These funds include the principal and interest payments from humana, inc., inclusa inc.'s unrestricted investment account funds that were transferred to the foundation, the excess capital funds less any payback to humana, inc. For both foreseen and unforeseen matters, as well as any income earned on the investment of these amounts. The board of directors has the authority to modify, redirect, or dissolve the fund at its discretion, based on the evolving needs and priorities of the foundation. The board has delegated the authority of the fund portfolio to the finance committee. The finance committee and executive director are charged with the responsibility of managing the fund portfolio.

THE FUND IS BOARD DESIGNATED, NOT DONOR RESTRICTED, AND IS COMPRISED OF THE FOUNDING FUNDS RECEIVED FROM THE ASSET PURCHASE AGREEMENT WITH HUMANA, INC., COMPLETED JUNE 1, 2023. THESE FUNDS INCLUDE THE PRINCIPAL AND INTEREST PAYMENTS FROM HUMANA, INC., INCLUSA INC.'S UNRESTRICTED INVESTMENT ACCOUNT FUNDS THAT WERE TRANSFERRED TO THE FOUNDATION, THE EXCESS CAPITAL FUNDS LESS ANY PAYBACK TO HUMANA, INC. FOR BOTH FORESEEN AND UNFORESEEN MATTERS, AS WELL AS ANY INCOME EARNED ON THE INVESTMENT OF THESE AMOUNTS. THE BOARD OF DIRECTORS HAS THE AUTHORITY TO MODIFY, REDIRECT, OR DISSOLVE THE FUND AT ITS DISCRETION, BASED ON THE EVOLVING NEEDS AND PRIORITIES OF THE FOUNDATION. THE BOARD HAS DELEGATED THE AUTHORITY OF THE FUND PORTFOLIO TO THE FINANCE COMMITTEE. THE FINANCE COMMITTEE AND EXECUTIVE DIRECTOR ARE CHARGED WITH THE RESPONSIBILITY OF MANAGING THE FUND PORTFOLIO.
