Governance Explanations

Form 990, Part VI, Section B, Line 11

The chief financial officer of project grad usa initially reviews form 990. Upon the resolution of any questions and any changes that result from the initial review, the completed document is then reviewed by the chief executive officer prior to filing. Subsequent to filing form 990, the audit committee reviews the return and form 990 is made available at the board meeting.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is distributed to all directors annually. They are asked to acknowledge receipt by returning a signed acknowledgement. When discussion occurs and/or votes are taken in board meetings and a member indicates a conflict of interest, such conflicts are noted in the minutes for the meeting and the member abstains from any vote taken.

Form 990, Part VI, Section B, Line 15

Compensation for the chief executive officer is reviewed and approved by the executive committee and then by the board of directors. Compensation for officers and key employees is reviewed and approved by the chief executive officers. The annual budget is approved by the board of directors.

Form 990, Part VI, Section C, Line 19

Project grad usa makes its governing documents, conflict of interest policy, financial statement and form 990 available to the public upon request.

Additional Explanations

FORM 990, PART XII, LINE 2B & 2C:

Project grad usa's june 30, 2015 financial statements were audited by an independent certified public accounting firm.

FORM 990, PART XI, LINE 8, RECONCILIATION OF NET ASSETS:

The prior period adjustment show the difference in the 2014 assets and liabilities amounts per the tax return vs the audited financial. At the time the return was completed the audit was in progress. Other changes in net assets or fund balance include discontinued operations of $1,061,922. Contracts relating to turnaround school operations expired during fiscal year 2015 and the contracts were not renewed.

Financial Statement Notes

PART X, LINE 2:

Gaap requires an entity to recognize the financial statement impact of a tax position when it is more likely than not that the position will be sustained upon examination. Project grad usa believes that all significant tax positions utilized by project grad usa will more likely than not be sustained upon examination. As of june 30, 2015, the tax years that remain subject to examination by the major tax jurisdictions under the statute of limitation are from the fiscal year 2012 forward (with limited exceptions). Tax penalties and interest, if any, would be accrued as incurred and would be classified as management and general expense in the statement of activities. As of june 30, 2015, there were no accruals recorded for any tax contingencies.
