“The board of trustees established an executive committee (the "committee") to assist the board in fulfilling its oversight responsibility for the operations of the foundation and its related entities. The committee has the power to conduct the business of the foundation during the period between meetings of the board, in accordance with the policies and expressed wishes of the board and established protocol. The committee is authorized to secure such resources as it reasonably needs to fulfill its responsibilities, including outside consultants, as appropriate. The chief executive officer of the foundation, or an appointed representative, serves as the committee's staff liaison. The committee also consists of three elected governing board officers: chair, vice chair and secretary, the past chair of the foundation, the chair of the board of governors of the partnership, and one to three at large members from the board of the foundation.
