“The board of trustees established an executive committee (the "committee") to assist the board in fulfilling its oversight responsibility for the operations of the foundation and its related entities. The committee has the power to conduct the business of the foundation during the period between meetings of the board, in accordance with the policies and expressed wishes of the board and established protocol. The board of trustees has adopted a set of central governance principles to provide a specific framework for the decision-making and governance activities of the committee. The committee is authorized to secure such resources as it reasonably needs to fulfill its responsibilities, including outside consultants, as appropriate. The chief executive officer of the foundation, or an appointed representative, serves as the committee's staff liaison.
