Governance Explanations

Form 990, Part VI, Section A, line 4

The Board of Directors of Thompson Cancer Survival Center Foundation (the "Corporation") amended and adopted the Restated Corporate Bylaws at a duly held meeting on October 16, 2013. The significant changes were the following: - The Board named Covenant Health, a Tennessee nonprofit corporation, as the sole member of the Corporation. Covenant Health is the parent company of the formerly listed, Thompson Cancer Survival Center, which is the supported organization of the Foundation. - The members of the board of directors will be elected by the Member from a slate of nominees nominated by the board of directors of the Corporation and recommended to the Member for election. The original bylaws stated that the former Member would select and nominate candidates to fill vacancies.

Accordingly, no provision for income taxes on qualifying activities has been made for these entities in the accompanying consolidated financial statements. However, certain entities and operations are subject to income taxes which are accounted for in accordance with Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) 740, Income Taxes (See Note G)." Note G reads in part: "Covenant had no unrecognized tax benefits at December 31, 2013 and 2012. At December 31, 2013, tax returns for 2010 through 2013 are subject to examination by the Internal Revenue Service. See Schedule O.Social Services Operating Grant: Expenses $392,029, including Grants of $392,029.The Foundation made a grant to support the operations of the Social Services Department of the Thompson Cancer Survival Center. In 2013, the Social Services Department reported 1,328 new patients and 3,275 follow-up patients. Additionally, 495 new patients and 1,729 follow-up patients were provided with nutritional counseling and education. Thompson Cares, a fund to assist patients in crisis situations, provided emergency funding for 668 patients to aid with food, shelter, transportation, and other needs. The Social Services department includes a Genetics Clinic staffed by two licensed and certified genetic counselors who provide breast cancer and hereditary cancer risk assessments and who coordinate genetic testing. In 2013, the Genetics Clinic counseled 339 new patients, including 322 who pursued genetic testing. Of those, 10% tested positive for a hereditary cancer syndrome. Whether patients tested positive or negative for a hereditary cancer syndrome, decided not to pursue testing, or were not appropriate candidates for testing, they and their families were able to make informed decisions regarding their medical management based on the genetic counseling they received.

See Schedule O.Clinical Trials Operating Grant: Expenses $362,759, including Grants of $362,759.TCSC Foundation provides an operating grant to the Thompson Cancer Survival Center ("TCSC" or "Thompson") for its Clinical Trials program. Since the opening of TCSC in 1988, the Clinical Trials Department has enrolled 2,270 patients in clinical trials. The TCSC Clinical Trials Department currently has 34 active treatment patients and 239 patients in follow-up. In 2013, TCSC Clinical Trials Department screened over 1,200 patients for clinical trials participation and enrolled 41 patients to oncology clinical trials. Increased efforts have been made to attend Methodist Medical Center, Blount, Sevier and Parkwest tumor board meetings. To help with screening efforts, Research Nurse Coordinators have been assigned to specific physician schedules for screening and to specific locations for coverage, including TCSC's Oak Ridge, Sevierville, West Knoxville, and Blount sites. The department added the Blount Memorial Cancer Center Radiation Department as a satellite location to clinical trials participation in 2013 and has the long term goal of opening up additional satellite locations in Lenoir City, Morristown, Rockwood, and Crossville. Also during 2013, the department received initial IRB approval on four new cooperative group oncology studies and two new industry trial oncology studies. Opening new studies increases referrals locally and regionally and gives current patients the ability to be treated with state-of-the-art care in their own community. Involvement in prevention and treatment trials offers an improved means of health strategies for individuals at risk for certain cancers, as well as access to proven standard cancer treatments and new, developing cutting edge therapies for those diagnosed with cancer.

See Schedule O.Cancer Outreach Services: Expenses $256,362, including Grants of $256,362.In 2013, the Cancer Outreach Services of Thompson Cancer Survival Center performed 371 mammograms in the 16-county service area through the mobile mammography unit. Of those, 193 were done for free for uninsured women. Beginning in April of 2013, a screening voucher program, Thompson Cares for Breast Health, was launched, providing 518 mammograms at eight Covenant Health locations. Through that program, 59 women were called back for additional screening and one cancer was detected. Outreach staff participated in numerous health fairs and educational activities throughout the year, including three Covenant Health Check sites, the Covenant Kids Run, South Knoxville Festival, Robert Townes Track Meet for 4th-6th graders, Loudon County Mud & Music Fest, Tellico Village, and Knox County Senior Expo. The department coordinated "Pink Ribbon Sunday," an annual breast health and awareness program, in October with educational and awareness materials for 40 predominantly African-American churches in Knox and surrounding counties that reached an estimated 12,000 individuals with cancer screening information. It also sponsored a colon cancer awareness initiative featuring local TV personality Bill Williams in public service announcements (in partnership with WBIR-TV) offering free colon cancer education kits. Outreach Services also facilitated two cancer support groups: young breast cancer survivors and African-American breast cancer survivors. The two groups, which consist of 100 survivors, are working networks that provide support for newly diagnosed patients and those whose disease recurs.

The most significant of these are further described below.PATIENT ASSISTANCEThe Fellowship Center is a free lodging and care facility for patients of TCSC coming to the area for treatment from 30 miles or more away.The Hands of Hope fund assisted breast cancer patients, both male and female, by paying for their utility bills, healthcare insurance premiums, prosthesis, wigs, lymphedema sleeves, transportation to and from treatment, groceries, house payment or rent.EDUCATION & TREATMENT ADVANCEMENTMultidisciplinary Treatment facilitates specialty physicians discussing treatment options based on the individuality of one's circumstances. The Multidisciplinary Cancer Care Coordinator schedules a private consultation for each patient with the members of the specialty team. This approach affords the opportunity for the physician to relate one-on-one with the patient and explain treatment choices in lay language.RESEARCHThe Foundation provides funding for a radiation oncology research program in which University of Tennessee graduate students participate.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1Note B to the consolidated audited financial statements of Covenant Health, parent company to Thompson Cancer Survival Center Foundation, reads in part: "Income Taxes: Covenant and certain of its subsidiaries or controlled entities are exempt from income taxes pursuant to Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes on qualifying activities has been made for these entities in the accompanying consolidated financial statements. However, certain entities and operations are subject to income taxes which are accounted for in accordance with Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) 740, Income Taxes (See Note G)." Note G reads in part: "Covenant had no unrecognized tax benefits at December 31, 2013 and 2012. As such, no interest or penalties were recognized in the Consolidated Statements of Operations related to unrecognized tax benefits. At December 31, 2013, tax returns for 2010 through 2013 are subject to examination by the Internal Revenue Service. Covenant has no uncertain tax positions that would require financial statement recognition or disclosure under generally accepted accounting principles at December 31, 2013 or 2012."
