Governance Explanations

Form 990, Part VI, Section A, line 6

Thompson Cancer Survival Center Foundation has one member, Covenant Health, a Tennessee nonprofit corporation. Covenant Health is the sole member of Thompson Cancer Survival Center, which is the supported organization of the Foundation.

Form 990, Part VI, Section A, line 7A

The members of the board of directors, other than the ex officio members, shall be elected by Covenant Health from a slate of nominees nominated by the board of directors of the Foundation and recommended to the Member for election. The sole member, Covenant Health, has the exclusive right to vote on the election, appointment of, or removal of directors.

Form 990, Part VI, Section A, line 7B

The sole member, Covenant Health, must approve all appointments to the board of directors, and any amendments to the bylaws. Subject in all events to the rights of the Member, the policymaking powers of the Corporation are vested in and exercised by the Corporation's board of directors.

Form 990, Part VI, Section B, line 11B

A draft Form 990 was presented to and approved by the board of directors. Management reviews and approves the final version of Form 990 prior to filing.

Form 990, Part VI, Section B, line 12C

Board members, officers and employees are required to adhere to rules and policies regarding conflicts of interest. The conflict of interest policy is presented before the full board of directors for review on an annual basis. It is part of the orientation process for new Thompson Cancer Survival Center Foundation board members.

Form 990, Part VI, Section B, line 15

Overall compensation policies for Covenant Health (Parent Company) and affiliates are set by the Covenant Health Compensation Committee of the Covenant Health board of directors, ("the Committee"), which is comprised of independent members of the board. The Committee is guided in its decision-making process by an independent, nationally-recognized executive compensation consultant experienced in advising nonprofit hospital boards. Individuals reported as key employees for the Foundation are compensated by Covenant Health, and a detailed description of the compensation process is included on Covenant Health's Form 990.

Form 990, Part VI, Section C, line 19

Thompson Cancer Survival Center Foundation makes its governing documents and financial statements available to the public upon request. The organization's conflict of interest policy is not made publicly available.

Financial Statement Notes

Part V, Line 4:

Endowment funds are intended to be used for the following purposes: Radiation Oncology Staff Education and Training, Radiation Oncology Research Operating Funding, Cancer Outreach Services, and Patient Assistance. Part V, line 1c: The funds currently in the endowment funds are all temporary funds that have not been donor or board requested to earn interest. These funds are pooled with other Foundation funds and any amounts earned are considered unrestricted revenue.

Part X, Line 2:

Excerpt from the consolidated audited financial statements of Covenant Health (Covenant), parent company to Thompson Cancer Survival Center, the supported organization of Thompson Cancer Survival Center Foundation: Covenant and certain of its subsidiaries or controlled entities are exempt from income taxes pursuant to Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes on qualifying activities has been made for these entities in the accompanying consolidated financial statements. However, certain entities and operations are subject to income taxes. Covenant had no unrecognized tax benefits at December 31, 2020 and 2019. As such, no interest or penalties were recognized in the consolidated financial statements related to unrecognized tax benefits. At December 31, 2020 and 2019, tax returns for 2017 through 2020 are subject to examination by the Internal Revenue Service. Covenant has no uncertain tax positions that would require financial statement recognition or disclosure under GAAP at December 31, 2020 and 2019.

IRS990/Desc0Multidisciplinary Operating Grant: The Foundation provides grant support for the operations of the Multidisciplinary Treatment Department of the Thompson Cancer Survival Center. Multidisciplinary treatment allows specialty physicians to discuss treatment options based on each patient's circumstances. A multidisciplinary nurse navigator schedules a private consultation for each patient with the members of the specialty team. This approach gives the physician the opportunity to relate one-on-one with the oncology patient and explain treatment choices in layman's terms. Patients in need of this support come from various Covenant Health facilities, as well as outside facilities or other healthcare providers.Thompson's Nurse Navigators assist oncology patients according to their needs and help them overcome multiple barriers to healthcare. Common barriers include financial, educational, transportation, logistical, linguistic, cultural, and emotional factors, as well as the complicated health care system in general. The Nurse Navigators guide patients to sources of financial support, help complete paperwork, educate patients on diagnoses and medical procedures, arrange and coordinate appointments with multiple providers, help with transportation, assist with housing, communicate with providers about unique patient needs, ensure medical records arrive at scheduled appointments, direct patients to support groups or counseling services, and attend patient appointments for support. In 2020, there were 21,985 oncology patient education encounters and 1,328 patients assisted by Nurse Navigators. There were 1,014 patients presented at multidisciplinary conferences where a Nurse Navigator attends with the patient to educate, offer support, and serve as a liason for patients and families for all services. For those patients being followed by navigators that have curative treatment, over 160 Survivorship Care Plans were completed by Nurse Navigators and discussed with patients in 2020. Two new Nurse Navigators were added to the program in 2020.Nurse Navigators also led the Low Dose CT Lung Screening Program for Fort Sanders Regional and Fort Sanders West. There were 573 total patients scheduled for screenings in 2020. Twenty-three patients were found to have an abnormal result. All Low Dose CT patients are followed by the multidisciplinary department.

IRS990/ProgSrvcAccomActy2Grp/Desc0Social Services Operating Grant:The Foundation provides grant support for the operations of the Social Services Department of the Thompson Cancer Survival Center. The Social Services Department receives referrals from Covenant Health facilities when oncology patients are identified that could benefit from the services provided by this department. In 2020, Social Services supported 1,701 new patient referrals and 4,290 follow-up patients. Additionally, there were 617 new patients referred for nutritional counseling and education and 1,420 follow-up patients. The Social Services Department also offers genetic counseling services including breast cancer and hereditary cancer risk assessments. In 2020, the Genetics Clinic provided services for 523 new patients who were in need of counseling, including 313 who pursued genetic testing. Whether patients tested positive or negative for a hereditary cancer syndrome, decided not to pursue testing, or were not appropriate candidates for testing, they and their families were able to make informed decisions regarding their medical management based on the genetic counseling they received. All patients received education, counseling and guidelines based on recommendations informed by their personal health history, family health history, and genetic testing results.

IRS990/ProgSrvcAccomActy3Grp/Desc0Clinical Trials Operating Grant:The Foundation provides a grant to the Thompson Cancer Survival Center for the operation of its Clinical Trials program. Since the opening of TCSC in 1988, the Clinical Trials Department has enrolled 2,688 patients in clinical trials. The TCSC Clinical Trials Department currently has 15 active treatment patients and 170 patients in follow-up studies. In 2020, despite the pandemic, TCSC Clinical Trials Department enrolled 6 patients to oncology clinical trials. In May 2020, TCSC joined the COVID-19 Cancer Consortium and has enrolled 55 patients to date. The oncology research staff opened the convalescent plasma trial through Mayo Clinic in May 2020 and enrolled 250 patients, allowing those patients to receive lifesaving plasma as part of their therapy for COVID-19. To help with screening efforts for potential clinical trial participants, Research Nurse Coordinators are assigned to specific physician schedules and locations, including Thompson Oncology Group's Oak Ridge, Sevierville, West Knoxville, Downtown Knoxville, and Lenoir City locations. Opening new studies increases referrals locally and regionally and gives current patients the ability to be treated with state-of-the-art care in their own community. Involvement in prevention, treatment, and data and specimen collection trials offers an improved means of health strategies for individuals at risk for certain cancers, as well as access to proven standard cancer treatments and new, developing cutting edge therapies for those diagnosed with cancer.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0In addition to the program services detailed above, funding was also provided in 2020 for cancer outreach and patient assistance.Thompson Cancer Survival Center Foundation supports the work of Thompson's cancer outreach department which provides free and reduced-cost cancer screenings in the East Tennessee area. In addition to outreach efforts at community health fairs and free clinics, the department provides no-cost mammograms and smoking/vaping cessation education. Despite the pandemic causing the cancellation of most outreach and education events, the department provided more than 280 free mammograms to women in need in 2020. Early detection and prevention efforts are the first step to help patients get diagnosed quickly or, if possible, never have to battle the disease at all.The Thompson Cares Fund, supported by employee and community donations, provides emergency assistance for cancer patients in times of crisis. In 2020, 787 patients received assistance with such needs as housing, transportation, utilities, food, medical supplies and medications.
